Jurisdiction 1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. 1334. This matter
is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). 2. 3. Venue is proper pursuant to 28 U.S.C. 1408 and 1409. The statutory bases for the relief requested herein are section 107(b) of the
Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), and Rule 9018 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules). Background 4. On May 17, 2005 (the Petition Date), the Debtors filed their voluntary petitions for
relief under chapter 11 of the Bankruptcy Code. The Debtors are operating their businesses and managing their properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. On the Petition Date, the Court entered an order jointly administering these cases pursuant to Bankruptcy Rule 1015(b). 5. On May 24, 2005, the United States trustee appointed the official committee of
unsecured creditors (the Committee). 6. On January 24, 2007, the Debtors filed the First Amended Joint Plan of
Collins & Aikman Corporation and Its Debtor Subsidiaries [Docket No. 3976] (as amended from time to time, the Plan). As contemplated in the Plan and as the Debtors have disclosed to the Court and publicly, to maximize the value of the Debtors estates and save jobs, the Debtors are pursuing a cooperative sale process, which the Debtors expect will culminate with the confirmation of the Plan. 7. Throughout these chapter 11 cases, the Debtors and GECC have engaged in extensive
negotiations to resolve certain disputes involving (a) certain agreements regarding thousands of pieces of equipment that GECC asserts are true leases and the Debtors assert are financing 2

agreements and (b) certain agreements between an affiliate of GECC and non-Debtor affiliates of the Debtors regarding the construction of a facility in Hermosillo, Sonora, Mexico. As a result of these negotiations, the Debtors entered into the Settlement Agreement with GECC. 8. The Debtors believe that the Settlement Agreement will allow the Debtors to
(a) avoid the significant expense, delay and uncertainty involved in litigating their disputes with GECC and (b) sell or dispose of any of the assets financed under certain of the Debtors agreements with GECC in a manner that maximizes the value of such assets and, thereby, maximizes recovery to the Debtors estates and their creditors. 9. Contemporaneously herewith, the Debtors filed the Motion seeking approval of the
Settlement Agreement. A copy of the Settlement Agreement, however, has not yet been filed with the Court. Assuming the Court approves this Ex Parte Motion, the Debtors will file the
Settlement Agreement with the Court under seal before the hearing on the Motion. Relief Requested 10. Pursuant to section 107(b) of the Bankruptcy Code and Bankruptcy Rule 9018, the
Debtors seek an order from the Court (a) authorizing the Debtors to file the Settlement Agreement under seal and directing that the Settlement Agreement shall remain under seal and confidential except as set forth in the order approving this Ex Parte Motion and (b) ordering that any portions of pleadings with respect to the Motion filed by any party that references the Settlement Agreement be filed under seal with respect thereto. Basis for Relief 11. Section 107(b) provides bankruptcy courts with the power to issue orders that will
protect entities from potential harm that may result from the disclosure of certain information. This section provides, in relevant part:

On request of a party in interest, the bankruptcy court shall, and on the bankruptcy courts own motion, the bankruptcy court may (1) (2) protect an entity with respect to a trade secret or confidential research, development, or commercial information; or protect a person with respect to scandalous or defamatory matter contained in a paper filed in a case under this title.
11 U.S.C. 107(b). 12. Bankruptcy Rule 9018 defines the procedures by which a party may move for relief
under section 107(b), providing that [o]n motion or on its own initiative, with or without notice, the court may make any order which justice requires (1) to protect the estate or any entity in respect of a trade secret or other confidential research, development, or commercial information [or] (2) to protect any entity against scandalous or defamatory matter contained in any paper filed in a case under the Code . . . . FED. R. BANKR. P. 9018. According to section 107(b) of the
Bankruptcy Code, a court must protect confidential commercial information. See In re Frontier Group, LLC, 256 B.R. 771, 773 (Bankr. E.D. Tenn. 2000); see also In re Georgetown Steel Co., LLC, 306 B.R. 542, 546 (Bankr. D. S.C. 2004) (purpose behind section 107 is to protect business entities from disclosure of information that could reasonably be expected to cause the entity commercial injury). 13. The Debtors submit that good cause exists for the Court to grant the relief requested
herein. In particular, the Debtors believe that disclosure of the information contained in the Settlement Agreement would provide certain interested parties and potential buyers of certain of the assets that are the subject of the Debtors agreements with GECC with a competitive advantage in their dealings with the Debtors. The Debtors further believe that such competitive advantage would significantly impair the Debtors ability to maximize the value of their estates as they liquidate their remaining assets.

Therefore, the Debtors seek to seal the Settlement Agreement and any portion of any
pleading filed with respect to the Motion that references the information in the Settlement Agreement to prevent the disclosure of information that could substantially harm the Debtors, their estates and stakeholders. 15. Moreover, the Debtors believe that they have provided sufficient information
regarding the Settlement Agreement (a) for interested parties to analyze the Motion and make an informed judgment and (b) to satisfy the standards necessary for the Court to approve the Debtors entry into the Settlement Agreement. 16. The Settlement Agreement has been provided to the Committee, the agent for the
Debtors prepetition senior, secured lenders (the Prepetition Agent) and the United States trustee. Additionally, the Debtors shall provide a copy of the Settlement Agreement or portions thereof to any additional party; provided, that prior to providing a copy of the Settlement Agreement or portions thereof to such party, the Debtors, the Prepetition Agent and GECC shall have agreed in writing that such party may receive a copy of the Settlement Agreement or portions thereof; provided, further, that if a dispute arises among the Debtors, the Prepetition Agent and GECC with respect to providing a copy of the Settlement Agreement or portions thereof to a certain party or parties, the Court shall resolve such dispute. 17. Accordingly, to protect certain of the Debtors business operations and the ability of
the Debtors to maximize the value received in connection with the liquidation of assets as contemplated in the Plan, the Debtors respectfully request that the Settlement Agreement be placed, and remain, under seal as set forth herein.
