NMDC LIMITED hereinafter referred to as The Principal,

Preamble
The Principal intends to award a contract, under laid down organisational
procedures, contract/s for (Description of the Equipment). The Principal
values full compliance with all relevant laws and regulations and the
principles of economical use of resources and of fairness and transparency
in its relations with its Bidder /s and /or Contractor(s).
In order to achieve these goals, the Principal cooperates with the
renowned international Non Governmental Organization, Transparency
International (TI). Following TIs national and international experience, the
Principal will appoint an External Independent Monitor who will monitor the
tender process from the beginning till execution of the Contract for
compliance with the principles mentioned HEREIN.

The Principal will, during the tender process, treat all Bidders with
equity and reason. The Principal will in particular, before and during
the tender process, provide to all Bidders the same information and
will not provide to any Bidder confidential / additional information
through which the Bidder could obtain an advantage in relation to the
tender process or the Contract execution;
iii. The Principal will exclude from the process all known prejudiced
persons.

The Bidder / Contractor will not, directly or through any other person
(s) or firm, offer, promise or give to the Principal, to any of the
Principals employee involved in the tender process or the execution
of the Contract or to any third person any material or immaterial
benefit which he / she is not legally entitled to, in order to obtain, in
exchange an advantage during the tender process or the execution of
the Contract.
II.
The Bidder / Contractor will not enter with other Bidders into any
Illegal agreement or understanding, whether formal or informal. This
applies in particular to prices, specifications, certifications, subsidiary
contracts, submission or non submission of bids or actions to restrict
competitiveness.
III.
The Bidder / Contractor will not commit any criminal offence under the
Relevant Anti- corruption Laws of India; further, the Bidder /
Contractor will not use improperly, for purposes of competition or
personal gain, or pass on to others, any information provided by the
Principal as part of the business relationship, regarding plans,
technical proposals and business details, including information
contained or transmitted electronically.

If the Principal has disqualified the Bidder from the tender process
prior to the award according to Section 3, the Principal is entitled to
forfeit the bidders Earnest Money Deposit.

substantive suspicion in this regard, the principal will inform the

The Monitor has the right to access without restriction to all Projects
documentation of the Principal. The Contractor will also grant the
monitor, upon his request and demonstration of a valid interest,
unlimited access to his project documentation.
The same is
applicable to Subcontractors. The Monitor is under contractual
obligation to treat the information and documents of the
Bidder/Contractor/Sub-Contractor with confidentiality.

The Principal will provide to the Monitor sufficient information about all
meetings among the parties related to the Project provided such
meetings could have an impact on the contractual relations between
the Principal and the Contractor. The parties offer to the Monitor the
option to participate in such meetings.

PERSONNEL
The Contractor shall employ the key personnel named in the
Schedule of key personnel as referred to in the Contract data
to carry out the functions stated in the Schedule or other
personnel approved by the Owner or his nominee. The Owner
or his nominee will approve any proposed replacement of Key
personnel only if their qualifications, abilities, and relevant
experience are substantially equal to or better than those of
the personnel listed in the schedule.
If the Owner or his nominee asks the Contractor to remove a
person who is a member of the Contractor staff of his work
force stating the reasons, the Contractor shall ensure that the
person leaves the site within seven days and has no further
connections with the Work in the Contract.

The contractor shall co-operate and sher the site with other
contractors, public authorities, utilities and the employer
between the dates given in the Schedule of other contractors.
The Contractor shall be referred to in the Contract Data, also

preferring of all claims and make good for the damage or loss
by way of repairs and/or replacement of the portion of the
work damaged or lost. The transfer of title shall not in any
way relieve the Contractor of the above responsibilities during
the period of the Contract. The Contractor shall provide the
Consultant/Owner with a copy of all insurance policies and
documents taken out by him in pursuance of the Contract.
Such copies of documents shall be submitted to the
Consultant/Owner in writing at least sixty (60) days in
advance, regarding the expiry, cancellation and/or change in
any of such documents and ensure revalidation/renewal, etc.,
as may be necessary well in time.

SUSPENSION OF WORK
34.1
The Owner reserves the right to suspend and restart any part
of the Works without invalidating the provisions of the
Contract. Orders for suspension or re-start of the Works will be
issued by the Owner to the Contractor in writing. The time for
completion of the works will be extended for a period equal to
duration of the suspension.
Any necessary and demonstrable costs incurred by the Contractor as a result of such suspension of the works will be paid
by the Owner, provided such costs are substantiated to the
satisfaction of the Consultant and the Owner. The Owner shall
not be responsible for any liabilities if suspension or delay is
due to some default on part of the Contractor or his sub
Contractor.

Safety Code:
The CONTRACTOR shall at his own expense arrange for the
safety provisions as appended to these conditions at Annexure
1 or as required by the ENGINEER in respect of all labour

PROPERTY
All materials on the site, plant, equipment, temporary works
and works for which payment has been made to the contractor
by the owner, are deemed to be the property of the owner, if
the Contract is terminated because of Contractors default.

RELEASE OF PERFORMANCE
If the contract is frustrated by the outbreak of war or by any
other event entirely outside the control of either the Owner or
the Contractor, the Owner or his nominee shall certify that the
Contract has been frustrated. The Contractor shall leave the
site and stop work as quickly as possible after receiving this
certificate and shall be paid for all work carried out before
receiving it and for any work carried out afterwards to which
commitment were made.

Structures:
Planning, setting and erection of the above
mentioned structures shall be approved by the CONSULTANT
and the whole of such temporary accommodation shall at all
times during the progress of the works be kept tidy and in a
clean and sanitary condition to the satisfaction of the

Register of workmen:
A register of workmen shall be
maintained in the form appended to these regulations and
kept at the work site or as near to it as possible, and the
relevant particulars of every workman shall be entered
therein within THREE days of his employment.

Employment Card:
The Contractor shall issue an
employment card in the Form appended to these regulations
to each worker on the day of work or entry into his
employment. If a worker already has any such card with him
issued by the previous employer, the Contractor shall merely
endorse that Employment Card relevant entries.
On
termination of employment the Employment Card shall again

If, even with two repetitive tests the performance values are
not achieved for reasons within the CONTRACTOR's
responsibility, the CONTRACTOR shall undertake at his own
cost such modification or replacement as are considered
necessary to obtain the performance guarantee values as
stipulated in Contract Specification and the responsibility to
demonstrate successful performance guarantee shall continue
to remain with the CONTRACTOR till so established.

Upon successful commissioning of the plant, the owner shall
issue to the contractor a commissioning certificate after which

The Contractor shall comply with all the rules and regulations
of local authorities during the performance of his field
activities. He shall also comply with the Minimum Wages Act,
1948 and the Payment of Wages Act (both of the Government
of India) and the rules made there under in respect of any
employee or workman employed or engaged by him or his
sub-Contractor. Contractor should strictly adhere to all labour
laws. The Contractor should follow and implement all labour
welfare laws in force. The contractor shall indemnify the
Owner in case of any loss or penalty or charges levied on the
Owner for the default of Contractor in following or
implementing the laws and regulation or orders of
Government.

DISCIPLINE OF WORKMEN
The Contractor shall adhere to the disciplinary procedure set
by the Engineer in respect of his employees and workmen at
site. The Engineer shall be at liberty to object to the presence
of any representative or employee of the Contractor at the
site, if in the opinion of the Engineer such employee has
misconduct himself or be incompetent or negligent or
otherwise undesirable and then the Contractor shall remove
such a person objected to and provide in his place a competent

The Contractor shall intimate the Owner within thirty (30) days
from the date of the Letter of Award of Contract, about his
exact requirement of space for his office, storage area,
pre-assembly and fabrication areas, labour colony area, etc.

The Owner shall have a lien on such goods for any sum or

The Engineer shall have the right at his sole discretion to stop
the work, if in his opinion the work is being carried out in such
a way that it may cause accidents and endanger the safety of
the persons
and/or property, and/or equipment. In such
cases, the Contractor shall be informed in writing about the
nature of hazards and possible injury/ accident and he shall
comply to remove shortcomings promptly. The Contractor after
stopping the specific work, can, if felt necessary, appeal
against the order of stoppage of work to the Owner within 3
days of such stoppage of work and decision of the Owner in
