Non-Disclosure, Non-Circumvention Agreement: 1. Purpose

This non-disclosure agreement is between Knowlton Consulting and Juha Matti Tapani Yrjonen to protect confidential information shared for potential business opportunities including investments, mergers and acquisitions. The agreement prohibits sharing confidential information with third parties without consent. It also prevents using confidential information for personal gain without a new agreement. If either party circumvents the agreement, the other can claim legal compensation equal to lost revenue plus legal expenses. NON-DISCLOSURE, NON-CIRCUMVENTION AGREEMENT

This agreement is effective as of 15th day of November, 2016 by and between

Knowlton Consulting, an establishment registered under Laws of United Arab Emirates with professional
License number 722741 and registered office at 202, 2nd Floor, White Crown Building, Sheikh Zayed Road, P.O.
Box 393141, Dubai, UAE collectively with any of its associates, assigns, agencies, departments, subdivisions or
affiliates (Hereinafter referred to as “Party A”) represented by its Chairman & CEO Mr. Sebastian Joseph and

Mr. Juha Matti Tapani Yrjonen, an individual, Finland National, holder of Passport (PG9649021) residing at 209
Wanchai Road, Wanchai, Hong Kong. (Hereinafter referred to as “Party B”). “Party A” and “Party B” are
collectively referred to as the “Parties”

1. Purpose The parties intend to engage in substantive discussions and sharing of confidential information regarding
certain new and useful business opportunities, Investments, Mergers & Acquisitions, trade secrets, business entity
formation, structuring and tax planning. In connection with these discussions, it may be necessary and/or desirable for the
Parties to provide each other or allow access to, proprietary, technical, or business data/ information of the other .

2. Obligation of Confidentiality

Parties shall not disclose or communicate Confidential Information to any third party unless it is required to proceed with
business deal.

3. Obligation of Non-Competition

The non-competition provisions of this Agreement is an essential and material part of the total agreement, by which
Parties agree it shall not use any advantages derivable from such confidential information in its own business or affairs,
unless the same is done pursuant to a new agreement executed by both parties.

4. Non-Circumvention

In the event of circumvention of this Agreement by any Party, directly or indirectly, the other party shall be entitled
to a legal monetary compensation equal to the maximum service it should realize from such a transaction plus all
expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue.

5. Consideration

The parties have agreed that consideration for the particular business deal depends on the mutual understanding and
monetary value of the transaction.

6. Term & Jurisdiction


This Agreement shall remain in force by mutual consent of the parties. This Agreement shall be construed, interpreted and
applied in accordance with and shall be governed by the laws applicable in Dubai and the United Arab Emirates and any
dispute arising out of this Agreement shall be referred to and resolved by the Dubai courts.

7. Mutuality
To the extent that confidential information is disseminated or exchanged by both parties, such information shall be
confidential as to both parties. THEREFORE, the parties have executed this Agreement effective as mentioned above.
