Exclusions:

General

· Civil construction, also civil and mechanical modification required for mounting or placing
equipment is excluded from ABB scope of work / supply.
· Supply of mechanical items is excluded from ABB scope.
· Festooning arrangement, is excluded from ABB scope
· Supply of Power and signals cables other than quoted is excluded from our scope of supply. All type
of Cable Laying, Termination of power and signal cable is excluded from ABB scope.
· We will provide you the typical drawings & details of similar installation of load cell. Detail
engineering, design, manufacturing & supply of the structure to mount the load cell is in buyer scope.
· ABB will extend the help in checking & approving the detail engineering drawing of structure.
· The mechanicals to be manufactured by the buyer as per Safety Standards. ABB is not responsible for
this under what so ever circumstances.
· Design and Engineering of subsystems / auxiliary equipment is not in our scope, other than weighing
system.
· Reconditioning and reconservation of equipment supplied by others.
· Standard weights required for calibration is not part of our supply. During calibration required Skilled
/ unskilled manpower to handle the weights will be arranged by the buyer.
· Weighing scale certification from any authorities is not in our scope.
· Material unloading and storage at site is not in our scope.
· All type of Certification & licenses are excluded from our scope.
· Our product brochures will be able to give you more details about technical data of each item.

Deviations:

· This offer is made based on the information made available by you and by considering 02 no’s of
6.3 Tonne per auxiliary crane (Nominal Measuring) load cell capacity for Crane Weighing system.
· Our weighing system is only for process purpose and not for any commercial applications. All type
of Certification & licenses are excluded from our scope.
· 230 V, AC, regulated power supply to the weighing electronics and near large display to be made
available by buyer.
· Standard weights required for calibration will be arranged by the purchaser according to product
requirement.

General Terms and Conditions

1) Scope of Supply

Our scope of supply is strictly limited to the items specifically included in the Scope of Supply enclosed
in our offer.

2) Price Conditions

The prices are on ex works ABB Bangalore basis. All other taxes, ED, CST & etc, freight, octrai or any
other charges levied by any authority is to buyers account.

In case, you request any equipment changes or modifications during the course of execution of the
order and we agree to carry out the same, the change in price on this account may not be limited to
changes in the hardware only.

3) Changes

Any changes affecting equipment or services, time required for performance or otherwise affecting the
scope of work may result in adjustments to price, delivery schedule, payment terms, warranties or
others. Any change must be accepted in writing.

4) Clients Responsibility

Client will determine the process application for equipment and will define and specify the hardware
configuration to meet its process requirements. Client shall, prior to delivery, prepare the installation
site in accordance with ABB's specifications. Client shall be responsible for the condition of and
influencing deficiencies at client’s site, including but not limited to, input signals of poor quality,
deficient environmental conditions and improper application engineering when not performed by ABB,
process problems or difficulties and delays. Client agrees to provide ABB with safety practices
applicable to the client's site where Services will be performed and identify any potential health hazards
or other hazardous working conditions.

5) Insurance

The quoted prices are exclusive of transit insurance charges.

6) Excise duty, Sales tax & other levies

The prices quoted do not include any taxes or duties and the same shall be charged as applicable at the
time of despatch and shall be payable by you at actuals like Excise duty, Education Cess, CST, Local
VAT, Octroi, works contract tax, Entry Tax etc.,.

If Form C is not provided, the full CST as applicable shall be charged. Wherever Way Bill/Road Permit
is applicable, the same shall be issued by the buyer.

In case of direct despatches (Sale in Transit) from our vendors’ works to the project site, the Excise
Duty, Education Cess & CST as charged by the vendor shall be reimbursed by you at actuals.

In case of Design & Engineering, Erection, Commissioning, Training & Supervision, Service Tax with
Cess as applicable shall be paid to us extra at actuals.

7) Terms of Payment
The terms of payment for Supply shall be:

20% of the contract value as a interest free advance along with purchase order.
Balance 80% of the contract value along with all taxes, duties & etc against exchange of dispatch
documents.

8) Liquidated Damages for delay

If the reasons for the delay in the delivery is attributable to us, liquidated damages, not by way of
penalty, @0.5% of the delayed part of the supply subject to maximum of 5% of the Contract price shall
be recovered from our Bills.
Levy of LD shall be the sole and exclusive remedy available under the contract to the buyer in case of
delay in the delivery.

9) Delay in lifting the material

If the Buyer defaults in taking the delivery of the materials as per the delivery schedule, he shall
nevertheless pay the part of the purchase price which becomes due on delivery, as if delivery had taken
place. ABB shall arrange for storage of the product at the risk and expense of the buyer. If necessary,
Insurance also shall be taken for the product at buyer’s expense.

If, for any reason for which ABB is not responsible, the buyer fails to accept delivery within such
period, ABB may by notice in writing terminate the contract in whole or in part. ABB shall then be
entitled to compensation for the loss suffered by reason of the buyer’s default.

10) Inspection / Testing and Acceptance

If required and specifically agreed to, the inspection shall be limited to final visual inspection of one
finished piece, each of the items ordered. Routine tests are carried out according to our standard
practice as an essential internal process of quality assurance and could be witnessed by your
representative, if agreed to at the time of order. Any requests for tests outside our standard practice
will be subject to prior mutual agreement and at extra charges provided facilities are available.

In either case, your inspection personnel shall have the authority and issue inspection certificate and
despatch clearance on the spot upon completion of inspection. If your Inspector fails to turn up on the

Notified date, inspection is automatically deemed to have been waived and we shall be free to despatch
the equipment.

Only such routine tests/certificates as per our or subcontractor's standard practice will be forwarded to
you. Any requests falling outside this purview will be subject to prior mutual agreement.

11) Indemnity

Client agrees to indemnify and save ABB harmless for all loss, cost or damage incurred by ABB as a
result of Client's negligence or misapplication of ABB supplied products or services.

12) Warranty

We shall repair or replace at our option, free of cost, on ex-works basis the whole or any portion of
material which under normal and proper use and maintenance proves defective in material and/or
workmanship within Twelve (12) months from the date of commissioning or Eighteen (18) months

from the date of shipment of material whichever is earlier. Provided prompt notice is given of such
defects. Such replacements shall be effected within a reasonable time actually required to do so.

Our liability arising out of supplying the material or its use, whether on warranties or otherwise, shall
not in any case exceed the cost of correcting the defects or replacement of the defective material and
upon expiration of the periods mentioned above, all such liability shall terminate.

Our liability does not extent to consequential damages, either direct or indirect or expenses for repairs
or replacements or otherwise paid or incurred without our authority. We accept no liability for defects
or depreciation caused by damage in transit, lightning, dampness, neglect, misuse or other abnormal
conditions due directly or indirectly to circumstances beyond our control.

Case of goods not of our manufacture, our liability will be limited to the benefits we may receive under
the Manufacturers Warranty Clause.

13) Time for Delivery

We expect to deliver the equipment in about 6 (Six) months from the date of your technically &
commercially clear purchase order along with the advance. The above delivery period is given in all
good faith and is subject to our usual force Majeure conditions. Further the time required for
inspection formalities, if any, and arranging delivery is excluded from the quoted delivery periods.

In case of any changes are made in the specifications during or after approval of the drawings, which
involve resubmission of drawings, and approval, and delivery period will be extended automatically by
such time or as may be intimated by us at that time.

14) Force Majeure

Time being the essence of the Purchase order, if either party is prevented from the performance of its
obligations in whole or in part for reasons of Force Majeure, Viz. Acts of God, acts of Government,
acts of Public enemy, war hostility, civil commotion, sabotages, fire, floods, explosions, epidemics,
lawful strike and lawful lock-out, then provided Notice of happening of any such eventuality is given by
the affected party to the other party within 15 days from the date of occurrence and cessation of Force
Majeure, the period of Force Majeure shall be excluded accordingly. The notice shall be accompanied
by evidence from a competent authority.

15) Freight

The prices are exclusive of freight charges.

16) Consequential Damages

Our liability does not extend to consequential damages either direct or indirect or expenses for repair
or replacements or otherwise paid or incurred without our authority. We accept no liability for
defects or depreciation caused by damage due to lightning, rain, neglect, misuse or other abnormal
conditions directly to circumstances beyond our control.
There shall be no liability for either party towards the other party for loss of production, loss of
profit, loss of use, loss of contracts or for any other consequential or indirect loss whatsoever.

17) Limitation of Liability

The Seller’s maximum aggregate limit of liability whether under and/or in connection with this
Contract or the performance or non-performance thereof or as a result of any fundamental breach of
Contract, warranty including termination of this Contract by the Purchaser, shall in no event exceed
the Contract Price.

18) Technical Up-gradations / Improvements

ABB follows a policy of continual improvement of design and we must therefore reserve the right to
supply equipment differing in detail from that described herein.

19) Validity

Our offer is valid for your acceptance up to 18.12.2014 beyond which date it shall be subject to our
confirmation in writing. At the time of revalidation, we reserve the right to review the price and / or
delivery offered, based on the conditions existing at that time.

At the time of order decision, we will be taking order in Indian rupee, considering the exchange rate on
the day of decision, and the forward cover rate.

Any order resulting from this offer shall be subject to our acceptance.
