DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made and executed on February 21, 2010 at Manila,
Philippines by:

SPOUSES CLARMANETTE AND LLOYD APOSTOL, of legal age, Filipinos and


with address at 222 Mapagmahal St., Malate Manila, hereinafter referred to as VENDOR;

-- in favor of --

GAIL L. AVILA, of legal age, Filipino and a resident of 111 Masaya St., Sampaloc,
Manila hereinafter referred to as VENDEE;

WITNESSETH: THAT --

WHEREAS, the VENDOR is the absolute owner of parcel of land, located at Malolos,
Bulacan, containing an area of 800 SQUARE METERS, identified as Lot No. 1012 and covered
by Original Certificate of Title No. O-167 of the Registry of Deeds for the Province of
Bulacan.

ORIGINAL CERTIFICATE OF TITLE No. 0-167

A parcel of land (Lot 1012 of consolidation subdivision plan (LRC) Pcs-13265,


being a portion of the consolidation of Lots 4751-A and 4751-B (LRC) Psd-50533, Lot 3,
Psd-100703, Lot 1, Psd-150980, LRC Rec. Nos. Nos. N-27024, 51768, 89632, N-11782,
N-13466, and 21071 situated in Malolos City, Province of Bulacan, Is. of Luzon. Bounded on N.,
point 4 to 1 by Road Lot 22, on the E, points 2 to 3 by Road Lot, on the S., points 3 to 4 by Lot
1014; and on the W., points 4 to 5 by Lot 1011; points 5 to 6 by Lot 1015. Beginning at a point
marked “1” on the plan, being N. 14 deg. 20’E., 58 m

WHEREAS, the VENDOR has offered to sell and the VENDEE has agreed to buy the
PROPERTY at the price and under the terms and conditions set forth herein below;

NOW, THEREFORE, for and in consideration of the foregoing premises and of the
stipulations hereinafter provided, the parties hereto agree as follows, to wit:

Section 1. ABSOLUTE SALE AND PURCHASE

a. SALE AND PURCHASE - For and in consideration of the Purchase Price received by
the VENDOR, said VENDOR does hereby absolutely and irrevocably SELL, TRANSFER and
CONVEY to the VENDEE, its administrators or assigns, and VENDEE does hereby
PURCHASE from the VENDOR in consideration of the latter’s covenants, representations and
warranties, the PROPERTY together with all the rights, titles and interests of the VENDOR over
and in the said PROPERTY.

b. CONSIDERATION - The Purchase Price for the sale to the VENDEE of the
PROPERTY is TWO MILLION (Php. 2,000,000.00), Philippine currency, receipt of which is
hereby acknowledged by the VENDOR to his entire satisfaction.

Section 2. REPRESENTATIONS AND WARRANTIES

a. The VENDOR hereby warrants that the PROPERTY is, and shall continue to be, free and
clear of all liens and encumbrances or claims whatsoever and, is and shall continue to be, not
subject to any claim, set-off, easement or defense which will prevent the BUYER from obtaining
full and absolute ownership in fee simple over the PROPERTY and full possession of the same.

b. The PROPERTY is not involved in any pending or threatened litigation or case brought
before a court or any administrative body.

IN WITNESS WHEREOF, the parties hereto have hereunto affixed their signatures on
the date and at the place first above written.
