Thank you for your recent inquiry requesting a quote for a Kice Positive Pressure Conveying System. We appreciate
your interest and offer the following system designed to convey 4.5 MTPH (165 lbs./min.) of rough rice husks 132
meters (427') horizontal, 12 meters (40') vertical, with 4 ea. 90 degree sand-t ells in a 6"OD line. Material to be dry, free
flowing, with a bulk density of 6 lbs./cu.ft.
The following tubing system, elbows and couplings are priced individually or by the foot, for estimating purposes and are
subject to final layout. We have estimated what may be required; additions and subtractions should be made to our
estimates

1. Prices and Acceptance: All quotations are valid for twenty-four (24) hours from date of quotation unless otherwise agreed upon in writing. Sale of goods
is not considered complete until the order is accepted at the Kice corporate office by an officer who is authorized to accept orders. All prices are net and do
not include local, state, or federal sales, use, or excise taxes or other similar taxes, whether now in force or to be enforced later. In the event the transaction is
subject to any such taxes, Kice Industries, Inc. will invoice you accordingly.
The above price DOES NOT include Crating or Freight fees. These will be added to the customer’s invoice.
2. Terms of Payment: Payment terms will be based on order value, subject to credit approval. (Effective on Orders Placed on or after 02/01/16)

3. Customer Responsibility:
A. The customer is responsible for establishing and enforcing electrical safety program and procedures for anyone operating, maintaining, or interfacing
with the system.
B. The customer is responsible for providing safety training for anyone operating, maintaining, or interfacing with the system.
C. The customer is responsible for implementing and enforcing an OSHA approved Lockout-Tagout program.
D. While Kice Industries makes every effort to clean our finished products prior to shipment, it is the customer's responsibility (especially food production
customers) to inspect and, if necessary clean each item they receive from Kice Industries prior to installing it.
4. Promise of Delivery: The estimated delivery dates represent our best estimate of the time required to complete the work and ship the product from our
plant. Estimated delivery dates are based on prompt receipt of all details pertaining to the order. Kice shall not be liable for any losses or damages (including
consequential or incidental damages) which result from delay or failure to deliver any or all of the products ordered on or before the estimated delivery date.
5. Cancellation: Orders may not be cancelled after acceptance by Kice except in writing and upon terms that will indemnify Kice against any damages or
losses resulting from the cancellation.
6. Returned Goods: No products may be returned and accepted for credit unless such return is first authorized in writing by Kice, prepaid and in good
condition upon receipt.
7. Indemnification: Kice will defend any suit or proceeding brought based upon alleged infringement of a U .S. patent by an product which Kice has designed;
provided, however, that Kice is to be notified in writing immediately by you, and given full information and immediate authority (where necessary) to assist in
the preparation of the defense of such action. Kice is to have full discretion in the handling of such action or proceeding and shall have authority to litigate,
settle and/or modify the product furnished in Kice's discretion. If you have supplied the design of the product furnished hereunder, you shall hold Kice
harmless of all claims of infringement, and indemnify and defend Kice against such claims.
8. Limited Warranty and Limitations of Warranty: Kice warrants the products manufactured by Kice to be free of defects in material and workmanship for a
period of one (1) year from the date of shipment. Kice agrees to repair or replace, at its discretion, any part found defective in the opinion of Kice. Kice is not
liable for any cost in connection with the removal, shipment or reinstallation of said parts. This warranty does not apply to abrasion, corrosion, erosion, abuse
or misuse of the product. Assistance by Kice in system layout or selecting equipment does not imply Kice's responsibility. Buyer agrees to look solely to the
warranty, if any, of the manufacturer or supplier of products manufactured by others and supplied by Kice for any alleged defects in such products and for any
damages or injuries caused thereby or as a result thereof. Where work is made to measurements or specifications furnished by the Buyer, Kice does not
assume any responsibility for the accuracy of the Buyer ’s specifications. Kice will not assume responsibility for alteration or repairs unless the same are made
with the written consent and approval of Kice. Buyer shall be responsible for compliance with electrical manufacturer's recommendations,
underwriter's code, and all safety precautions. Kice extends no other warranty for any of its products other than the above expressed warranty and
there are no other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose or otherwise which
extend beyond the above limited expressed warranty. Kice and its dealers shall not in any event be liable for consequential or incidental damages and the
terms and conditions stated herein provide Buyer's sole and exclusive remedy. Any action for breach of agreement or warranty must be commenced within
one year after cause of action has accrued.
9. Governing Law: All agreement with Kice will be governed by and construed according to the laws of the state of Kansas.
10. Explosion Containment and Isolation Requirements: Explosion venting or suppression requirements are to be determined by customer, based on local
regulations or NFPA standards. Per NFPA 68, the customer is responsible for providing Kice Industries with current and accurate Kst and Pmax values for the
material being handled. For purposes of quoting, we have either not quoted explosion vents or estimated the number of vents required based on industry
published data. If ordered, explosion vent quantity and sizing is to be verified by Kice Engineering, based on customer supplied data, and our quote may be
subject to change to meet current NFPA standards. Kice Industries can help facilitate determination of the needed values by working through one of our
suppliers. Explosion suppression and isolation is related to explosion venting, but is not being considered on this quote, unless specifically addressed within
the quote. If ducting is to be attached to the explosion vents, see NFPA 68 for vent size regulations and specify at time of order. Cross sectional area varies
according to product and filter size.
