We draw your reference to discussions and subsequent correspondence and negotiations you had with us,
we are pleased to issue RATE CONTRACT for DG Maintenance of VIOM Sites as per terms & conditions
mentioned below:-

Scope Of Work
1) Any type of breakdown between one B-Check to another B-Check will be under your scope
including spare and labour, no extra amount or PO will be given during this rectification the rental D.G
have to be provided by vendor on his own cost.
2) One Time Correction PO will be given for breakdown DG sets before the B-Check AMC starts
therefore kindly check the DG sets and update the O&M team for any type of faults as after your B-
check the breakdown will fall under your scope.
3) All B-checks will be after 500hrs. or 5months whichever is earlier, therefore kindly use the
proper Lube oil which can sustain that much running hrs. we suggest 15w40 of Valvoline.
During rectification fault, immediately vendors have to provide the rental D.G (Site will not down because
of this ), on the confirmation of site CI/ZM & also same have to approve by SCM. At the time of removal of
Rental D.G a Rental D.G format have to be signed by Technician / CI/ZM & enclosed at the time of invoicing
& same would be reimburse by co. If, it comes under SLA ( Resolution Time Line i.e. 72 Hrs ) & separate P.O
will be issue for it.
Service Warranty: Vendor must ensure that there is no recurrence of the fault due to poor workmanship or
improper/ inadequate spare used. Vendor must undertake to rectify such faults brought to his notice within
30/31 days at no extra cost to company.

ANNEXURE B
a. Recruit his own employees for carrying out the hitherto contracted work as per the terms and
conditions elaborated here in below.
b. Ensure that he deploys trained and competent employees who are physically fit and are not
suffering from any chronic or contagious disease
d. Should comply with all statutory liabilities under various labour statutes such as payment of
Minimum Wages, ESIC, PF, Workmen’ compensation, etc.
f. Be bound and follow and comply with all orders and directions given by the company and / or its
officials or representatives, in pursuance of the powers conferred upon the Company by this Order.
g. Be responsible and liable for payment of salaries, wages and other legal dues of the employees who
are employed by him for the purpose of rendering the services required by the Company under this
Order and shall maintain proper books of accounts, records and documents and comply with all
statutes, rules and regulations which are applicable to his or the employees employed by him for
the fulfillment of the terms of this Order. The Contractor’s employees shall always be under his
direct control or supervision.
h. Regulations: Shall observe and comply with all applicable provisions and requirement of Shops and
Establishments Act, Payment of Wages Act, ESI Act 1948, PF & Miscellaneous Provisions Act, 1952,
Payment Of Bonus Act 1965, Workmen’s Compensation Act, Minimum Wages Act 1948 and of all
statutes, regulations and provisions having the force of law as also all Rules. Also, the contractor
will ensure that he has a valid license & is registered under Contract- Labour (Regulations &
Abolition Act 1970). Bye-Laws and other provisions framed there under or in pursuance thereof,
insofar as the are attracted by reason of the obligations and right conferred on the Contractor by
this Order or by reason of the duties or responsibilities imposed on the Contractor by this Order or
by reason of the activities or functions discharged by the Contractor in pursuance of this Order and
in particular, by reason of the employment or engaging by the Contractor of employees or The
Contractor undertakes to indemnify and keep indemnified the Company from against all notices,
suits, proceedings, claims and demands whatsoever that may be brought or made against the
company by or on behalf of any person, persons, body, bodies, authority or authorities
whomsoever and whatsoever and all duties, penalties, levies, taxes, losses, damages, costs, wharf
ages, expenses, claims, demands, debts or other liabilities whatsoever which the company may
now or hereafter be liable to pay, incur, face or sustain by reason or in consequence or in
connection with any breach of default committed by the Contractor or his employees, of the
obligation imposed on him by any such provisions for requirements.
i. Comply with and undertake to comply with all applicable laws, orders, ordinances, notifications,
rules, regulations, legislation or provisions of or having the force of law and all modifications
thereto for time being in force, whether central, state, Municipal or otherwise, related or
pertaining to the execution or performance of this Order;
j. Not use the name of the Company in any manner either for credit arrangements or otherwise. It is
agreed that the Company shall not in any way be responsible for the debits, liabilities or obligations
of the Contractor and / or his employees.
k. Ensure that his employees while on the premises of the Company or while carrying out their
obligations under this Order, observe the standards of cleanliness, decorum, safety and general
discipline laid down by the Company or its authorized agents and the Company shall be the sole
judge as to whether or not the Contractor and / or his employees have observed the same.
l. Forthwith remove any servant or other person or persons employed by him or any associate,
contractor or other person connected with him, if the company considers that being associated
with such persons is not in the interest of company.

m. Be bound to adopt and follow all security and safety measures which the company may advise from
time to time
n. Indemnify and keep indemnified the Company, its Directors, Officers and employees from and
against all claims, demands, actions, suits and proceedings, whatsoever that may be brought or
made against the company by or on behalf of any person, body, authority whomsoever and
whatsoever and all duties, penalties, levies, taxes, losses, damages, costs, charges and expenses
and all other liabilities of whatsoever nature which the company may now or hereafter be liable to
pay, incur or sustain by virtue of or as a result of the performance or non-performance or
observance or non-observance by the Contractor of any of the terms and conditions of this Order.
Without prejudice to the Company’s other rights, the Company will be entitled to deduct from any
compensation or other dues payable to the Contractor, the amount payable by the Company as a
consequence of any claims, demands, costs, charges and expenses. The Company shall not be
responsible for death, injury or accidents to the Contractor’s employee, which may arise out of or
in the course of their duties on or about the Company’s property and premises and in the event
that the Company is made liable to pay any damages or compensation in respect of such
employees, the Contractor hereby agrees to pay to the Company such damages or compensation
upon demand. The Company shall also not be responsible or liable for any theft, loss, damage or
destruction of any property of the Contractor or his employees lying in the Company’s premises
from any cause whatsoever.
o. The company in no way be responsible or liable for meeting any liability with regard to the
workmen employed by Contractor for carrying out the job undertaken under this Order and it shall
be the sole responsibility of the Contractor to meet such liabilities arising from time to time under
the various statutes and the Contractor shall indemnify and keep indemnified the Company at all
times during the tenure of this Order from damages or financial loss that may be incurred by the
Company on account of the contractor failing to meet such liabilities to his workmen.
p. The scope of work under this contract cannot be subcontracted, re-assigned, out-source or to any
other body, organization, firm, person, directly or indirectly, on expressed or implied terms by the
contractor without written permission of the Company and following the due process of law.
• If the contractor fails to comply with any of the terms and conditions of the contract or
after 1 Month notice in writing with orders properly issued in.
• Pace Power Systems Pvt. Ltd. may, without prejudice to any other right or remedy, which
shall have accrued or shall accrue thereafter to Pace Power Systems Pvt. Ltd., cancel the
contract as a whole or only such work order or items of work in default from the contract.
Whenever the authorized official of Pace Power Systems Pvt. Ltd. exercises his authority to
cancel the contract as a whole in part under this condition he may complete the work by
any means at contractor risk & the cost for the same would be recovered from the
payments due to the contractor.
r. Arbitration: Any dispute or difference, which may arise out this contract and cannot be settled
amicably between the contracting parties, shall be settled by Arbitration. The arbitration shall be
conducted in accordance with the latest rules of Arbitration and Conciliation of the Indian Council.
s. Jurisdiction: The courts of Bangalore (Karnataka) only shall have jurisdiction to deal with and
decide any legal matters or disputes whatsoever arising out of this contract.
t. Contractor agrees that it will comply with all applicable national, state and local laws, regulations
and codes in the performance of this Order. Contractor further agrees to indemnify Pace Power
Systems Pvt. Ltd. for any loss or damage that may be sustained by reason of Contractor’s failure to
comply with such national, state and local laws, regulations and codes.
u. Pending faults to be cleared within 10 days. If not repaired within 10 days cost of repair to be borne
by vendor
v. Overdue B checks to be completed within 30 days starting with sites which are max overdue.
w. Rectification & B check closure plan to be submitted within 3 days. No deviations from plan
x. Service reports to be signed by Pace site engineer at site and daily progress report to be submitted
in prescribed format. No deviation shall be found between daily report and FSR date.
1. Technician to site mapping details to be shared and any changes to mapping to be regularly
updated. If any technician is found unsuitable to be replaced within 7 days.
2. All breakdowns shall be to vendor account after 30 days of handover/ first B check date
3. Any fault/breakdown shall be rectified by vendor within 72 hours. Cost of mobile DG shall be to
vendor account.
4. No outsourcing to be done
7. Any DG breakdown within 100 hours of B check will be considered as a major deviation and Pace
may decide to discontinue vendor services if there are 2 or more incidents per 100 DGs.
8. DG Non availability shall not exceed 0.1% considering all sites assigned to vendor. If non availability
exceeds 0.5% Pace may decide to discontinue vendor services.

9. All invoices shall be submitted on monthly basis by 5th of the following month with certified FSRs
10. Work should not be done without Purchase Order & not to exceed the PO value. PO is applicable
for the current month work only.
11. Misbehaviour with PACE POWER employees at our office (Circle & Corporate) or on the field,
directly or indirectly is strictly prohibited. Such incidence will be considered seriously and vendor
will be terminated from the rate contract immediately without further notice.
12. Need to achieve at least 95 % of the monthly B-check plan failing which penalty will be charged as
per below mentioned details.
