MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Agreement is made and entered into by and between:
ADB FINANCING REAL ESTATE SERVICES, a domestic

single proprietorship, located in 5-1C #2 Omega corner Rolex St.
Vivida North Omega Ave, Novaliches Quezon City as represented by
CATHERINE G. TEJERO hereinafter referred to as the "FIRST
PARTY”
-AND-
(INSERT NAME OF FINANCIER), of legal age, with postal

address at (INSERT ADDRESS) is hereinafter referred to as the
"SECOND PARTY”.
-AND-

(INSERT NAME OF BORROWER), Filipino and of legal
age, (INSERT ADDRESS) hereinafter referred to as “THIRD
PARTY”.
WITNESSETH That:
I.
WHEREAS the THIRD PARTY is the registered owner of a real property

consisting of ________ SQUARE METERS (___ sqm) more or less, located in
(INSERT LOCATION OF REAL PROPERTY) and covered by Transfer
Certificate of Title ________ (“PROPERTY”) and more particularly
described as follows:
“TRANSFER CERTIFICATE OF TITLE

WHEREAS, the THIRD PARTY intends to borrow a sum of money

amounting to FIFTEEN MILLION PESOS (PhP 15,000,000.00) and will offer
his PROPERTY as a collateral to the said loan.
WHEREAS, the FIRST PARTY found a suitable financier for the THIRD
PARTY. The Financier is the SECOND PARTY.

WHEREAS, the THIRD PARTY borrowed the amount of FIFTEEN
MILLION PESOS (PhP 15,000,000.00) from the SECOND PARTY by and
through the efforts of the FIRST PARTY.
WHEREAS, the THIRD PARTY offered his PROPERTY as a security and

collateral to the loaned amount and the SECOND PARTY accepted the offer.
NOW, THEREFORE, for and in consideration of the foregoing premises

and of the mutual covenants and promises herein contained, the parties hereby
agree.
1. The FIRST PARTY shall be entitled to a THREE PERCENT (3%) of

the loan amount, or FOUR HUNDRED FIFTY THOUSAND PESOS
(PhP 450,000.00) commission representing his efforts in finding a
financier for the THIRD PARTY.
2. The said commission shall be immediately paid to the FIRST PARTY

upon release of loan issued by the SECOND PARTY in favor of the
THIRD PARTY this ___ (INSERT DATE) 2021.
All PARTIES acknowledge that this Agreement constitutes the entire

agreement among them and shall completely supersede all other prior
undertakings, understandings, previous communications or contracts, oral or
written, between the parties relating to the subject matter thereof.
The PARTIES affirm and acknowledge that they have carefully read and
understood all the terms and conditions herein provided and that at the time of
the execution, all the information/stipulations have been accurately and
completely provided and agreed upon.
The PARTIES are strictly enjoined to comply with the terms and
conditions of this AGREEMENT, otherwise, any violation thereof shall entitle the
aggrieved party to appropriate legal remedies under the law.
IN WITNESS WHEREOF, the PARTIES have hereunto set their hands

signatures in accordance with the 2004 Rules on Notarial Practice and
acknowledge that the same are their own free and voluntary act.
This instrument consists of THREE (3) pages including this page upon
which acknowledgement is written and had been signed by the parties and their
instrumental witnesses on each page thereof and refers to a Memorandum of
Agreement.
