This Agreement made and entered into this 12th day of March 2021 in Marikina City,
Philippines, by and between:
MARIA AURORA S. SANTOS, of legal age, Filipino, single, with current
address at 12B Mulawin St. Banker’s Village III Antipolo City, hereinafter referred to
as "SELLER";

JOY B. PANTINO, LEAH B. PANTINO and SHEILA B. PANTINO, Filipinos,
of legal age, all single, with address at Lot 7 Block 2 Royal Ville Subdivision, Sta. Elena,
Marikina City, hereinafter referred to as “BUYERS".
WITNESSETH: That --
WHEREAS, the SELLER is the owner of one (1) parcel of land with improvement
situated in Antipolo Rizal, with a total area of Two Hundred ThirtyThree (233) square meters,
more or less, and covered by Transfer Certificate of Title (TCT) No. 163-2021001139, with Tax
Declaration No. AP-016-16686 for the parcel of land and Tax Declaration No. AP 016-16687 for
the improvement, registered in SELLER's name (the “Antipolo Property”). Copies of TCT 163-
2021001139, Tax Declaration No. AP-016-16686 and Tax Declaration No. AP 016-16687 are
herein attached as Annexes "A", B" and "C" and made integral parts hereof;
WHEREAS, the SELLER has agreed to sell and the BUYERS have agreed to purchase
the Antipolo Property under the terms and conditions herein agreed upon;
NOW THEREFORE, for and in consideration of the total sum of Philippine PESOS:
FOUR MILLION FIVE HUNDRED THOUSAND (P4,500,000.00), payable in the manner
hereinafter indicated, the SELLER hereby undertakes to SELL, CEDE, TRANSFER, CONVEY AND
DELIVER possession and ownership of the Antipolo Property unto the BUYERS upon receipt of
the full consideration.
The parties hereby agree, as follows:
1. The consideration of PESOS: FOUR MILLION FIVE HUNDRED THOUSAND
(P4,500,000.00) net price shall be paid as follows:
a. RESERVATION: Reservation fee of Fifty Thousand Pesos (P50,000.00) was given to
the SELLER last February 5, 2021.
b. DOWNPAYMENT: Upon signing of this contract, the BUYER shall give a
downpayment of Six Hundred Thousand Pesos (P600,000.00).
c. BALANCE: Upon release of the Bank Guaranty by Bank of the Philippine Islands (BPI)
for PESOS: THREE MILLION EIGHT HUNDRED FIFTY THOUSAND (P3,850,000.00) in favor of the
SELLER for the loan secured by the BUYERS, SELLER shall execute the Deed of Absolute
Sale for the purpose of transferring the Title and Tax Declarations in the names of the BUYERS
over the Antipolo property in favor of the BUYERS to allow the registration of the Real Estate
Mortgage over the same in compliance with conditions for the release of the BUYERS' loan
from BPI of P3,850,000.00. The amount of P3,850,000.00 representing the balance due for the
Antipolo Property shall be considered as paid only upon actual release and receipt of said
amount to SELLER in full.
i. The BUYERS undertake to effect the transfer and registration of the title
to the Antipolo property under their names, as well as the registration of mortgage and
all other acts and documentation in compliance with the requirement of BPI in order that the
loan amount covered by the Bank Guaranty shall be released to the SELLER without delay.
ii. It is understood that the payment of capital gains tax, documentary
stamp tax, and all other expenses of registration for the transfer of title to the
Antipolo property shall be for the sole account of the BUYERS.
2. The BUYERS hereby acknowledge the trust established by the SELLER in their favor
such that ownership and title to their Antipolo property will remain with the SELLER until the
latter are actually fully paid regardless of the execution of the Deed of Absolute Sale or
registration of the title thereto in the name of the BUYERS.
3. The parties undertake to keep all the provisions in this agreement confidential
and, if found to be the cause of any disclosure, any consequential effects shall be solely
borne by the party who made the disclosure. Damages in an amount not lower than PESOS:
FIFTY THOUSAND (P50,000.00) shall be paid by the disclosing party to the non-disclosing party
upon discovery of such disclosure without need of demand, verbal or written.

Known to me to be the same persons who have executed the foregoing CONTRACT TO SELL and
acknowledged to me that the same is of their own free will and voluntary act and deed as well
as of the corporation herein represented. This instrument consisting of three (3) pages,
including the page on which this acknowledgement is written, has been signed on the left
margin of each page and every page thereof by the parties and their instrumental witnesses and
sealed with my notarial seal.
