This agreement is established, it being previously stated that the parties have entered into business
relations with a view to concluding various transactions requiring the direct connection of
various partners with each other.

ARTICLE 1.

The named parties A, B, C, D, E, F, G, H, and I individually and their associates agree that,
their employees, affiliates, agents, advisers and/or associates, family or friends will not process,
will not enter into or be involved in any transaction, separately
or individually, with any company, society, establishment or person
presented by the other party, without having received the prior authorization of the opposing parties,
more implicitly part A

Les parties désignées A, B, C, D, E, F, G, H, et I à titre individuel et leurs associées, conviennent que,

leurs employés, filiales, agents, conseillers et/ou associés, famille ou amis ne traiteront pas, ne
concluront pas ou ne seront pas impliqués dans toute transaction, séparément
ou individuellement, avec toute compagnie, société, établissement ou personne
présenté par l´autre partie, sans en avoir reçu l´autorisation préalable des parties opposées de
manière plus implicite la partie A

ARTICLE 2.
Each of the named signatories, confirms that every companies, organizations, firms or persons
to which the signatories belong or for which they act as agents, employees or any other
quality and who could benefit from a piece of information on this purpose are linked by
this agreement.

Chacun des signataires désignés, confirme que toutes compagnies, organisations,

entreprises, sociétés ou personnes dont les signataires font partie ou pour lesquels ils agissent
en tant qu´agent principal, employé ou à toute autre qualité, et qui pourraient bénéficier
d’une information à cet égard, sont liés par cette convention.

ARTICLE 3.

The terms of this agreement shall be for ten years (10 years) from the date of the signature
of this agreement it must apply to any transactions, which includes subsequent follow-ups,
repeated and extended or re-negotiated transactions.

Ce contrat est une garantie valable dix ans (10 ans), à partir de la date de signature de
la présente convention. Elle est applicable à toutes transactions, ce qui implique notamment
les suivis consécutifs, les répétitions ou les transactions étendues et renégociées.

ARTICLE 4.

The signatories, who want to be legally and irrevocably linked by the present agreement,
agree not to circumvent or hamper each other, directly or not, to avoid the payment or
the collection of duties or commissions of any associates, legal or individual entily, notified
by one of the parties to the other party.

Les signataires, manifestants ici leur volonté d´être légalement et irrévocablement liés par
la présente convention, conviennent de ne pas circonvenir, se gêner ou se faire
obstacle directement ou indirectement, pour éviter le paiement ou l´encaissement
des droits ou commissions de tous associés, personne morale ou physique, porté à la
connaissance de l´une des parties par l´autre.

ARTICLE 5.

Each party agrees not to disclose or reveal in any way and to anybody, any confidential
information having been transmitted by the other party, particularly those concerning the people
co-ordinates or any other way to get in touch with them except with the express written
consent of the other party.

Chacune des parties s’engage à ne pas divulguer ou révéler, de quelque façon

que ce soit ou à qui que ce soit, toutes informations confidentielles lui ayant été
transmise par l´autre partie, particulièrement celles concernant les coordonnées des
personnes transmises par l´autre partie, tout autre moyen permettant l´ entrée en contact
avec elles, sans en avoir préalablement l´autorisation précise et écrite de l´autre partie.

ARTICLE 6.

The present agreement links beyond dispute heirs and legal successors so that they will
benefit from it as well as be bounded by it.

Le présent contrat engage valablement les héritiers et ayants droit des soussignés. Ainsi il
continuera à bénéficier de même qu´à contraindre les héritiers, exécuteurs,
administrateurs, ou ayants droit des parties.

ARTICLE 7.

The parties will have to do everything possible to settle amicably any controversy or
dispute which could bring them into conflict situations, which are not mentioned in the
present agreement. All disputes arising out of or in connection with the present contract
shall be finally settled under the Rules of Arbitration of the International Chamber of
Commerce by one or more arbitrators appointed in accordance with the said Rules of
Arbitration. Any party to this contract shall have the right to have recourse to and shall be
bound by the Pre-Arbitral referee Procedure of the International Chamber of Commerce
in accordance with its Rules for a pre-arbitral referee procedure.

Les parties mettront tout en œuvre pour régler à l´amiable les différents ou litiges
qui pourraient les opposer pour tout ce qui n´est pas prévu dans la présente
convention. Tous différents découlants du présent contrat ou en relation avec celui-ci
seront tranchés définitivement suivant le règlement d’arbitrage de la Chambre de
Commerce Internationale par un ou plusieurs arbitres nommés conformément à ce
Règlement. Toute partie au présent contrat peut recourir au Règlement de référé pré-
arbitral de la Chambre de Commerce Internationale, les parties se déclarant liées par les
dispositions dudit Règlement.

The parties agree that the place of arbitration for possible disputes likely to arising from this contract or
having a relationship with it shall be determined by the International Court of Arbitration of the
International Chamber of Commerce, the preference being given to places of greater ease of access
for the party proposing or for both parties.

Les parties conviennent que le lieu d’arbitrage pour d’éventuels litiges susceptibles de
surgir du présent contrat ou qui auraient une relation avec celui-ci sera déterminé par la
Cour Internationale d’Arbitrage de la Chambre de Commerce Internationale (ICC), la
préférence étant donnée à des lieux de plus grande facilité d’accès pour la partie
proposante ou pour les deux parties.

ARTICLE 8.

The subscribers herein accept that any disputes resulting from the present agreement or in
connection with referred agreement and which envolve, exclusively, the parties legally
seated in France and which complaint's total value is below €1.000.000 (one million euro), may be,
under criterion of the proponent part, solved at their own domicilliary jurisdiction, pursuant to the Laws
in force of the
Republic of France

Les soussignés acceptent, par cet acte, que les litiges émergents du présent contrat ou
concernés par lui et qui engagent, exclusivement, les parties dont le siège légal est en France
et dont la valeur totale réclamée dans la dispute soit inférieure à 1.000.000.000,00€
(un milliard euro), pourront être, à critère de la partie proposante, solutionnés au tribunal de leur
domicile, suivant les lois en vigueur à la République
Française.

ARTICLE 9.
Objects of the CONVENTION : It was agreed and stoped as follows:

1 - Mr X designated by the letter Y, represented by the intermediary Mr. Lemba Thierry designated by
the letter B ask the party A designated as Mr NJOK BATHA Hugues to make every effort to allow the
monetization of documents proposed by the party Y as follows; BEARER VOUCHERS

2 – Mr X designated by the letter Y, represented by the intermediary Mr. Lemba Thierry designated by
the letter B ask party A designated as Mr NJOK BATHA Hugues
to monetize all monetizable documents on all financial platforms and by all financial means.

Objets de la CONVENTION : Il est convenu et arrêté ce qui suit :

1 - Mr X designé par la lettre Y , représenté par l'intermédiaire Mr. Lemba Thierry désigné par la
lettre B demandent à la partie A désigné comme Mr NJOK BATHA Hugues de mettre tout en œuvre
pour permettre la monétisation de documents proposé par la partie Y comme suit ; BON AU
PORTEUR

2 – Mr X designé par la lettre Y , représenté par l'intermédiaire Mr. Lemba Thierry désigné par la
lettre B demandent à la partie A désigné comme Mr NJOK BATHA Hugues
de monétiser tous documents monétisable sur toutes plateformes financières et par tous moyens
financiers.

ARTICLE 10.

This NCNDA as well as all the cases which could result from it can only be brought to term if the party
A designated as Mr NJOK BATHA Hugues is designated as exclusive REPRESENTATIVE and
exclusive PAYMASTER and this in order to protect the identity of the monetizer and his professional
circle which will help with monetization.

Ce NCNDA ainsi que toutes les affaires qui pourraient en découler ne pourront être mener à terrme
que si la partie A désigné comme Mr NJOK BATHA Hugues est désigné comme MANDATAIRE
exclusif et PAYMASTER exclusif et cela afin de protéger l’identité du monétiseur et son réseau.

ARTICLE 11.

The remuneration varies according to the type of products sold.

At the specific request of party C and parties D, E, F, G, H and I, the interests that will result from the
monetization will be distributed as follows:
- 50% for parts C, D, E, F, G, H and I
- 50% for parties A and B, lawyer and monetizer and others… these will settle the stakeholders relating to the
principle of monetization.

La rémunération varie selon le type de produits vendus.

A la demande précise de la partie C et des parties D, E, F, G, H et I les intérêts qui découleront de la monétisation
seront répartis comme suit :
- 50% pour les parties C, D, E, F, G, H et I
- 50% pour les parties A et B, avocat et monétiseur et autres … celles-ci règleront les intervenants afférents
au principe de la monétisation.

ARTICLE 12.

The parties are therefore bound to the date of signature by the English and French composition of this
agreement.
This agreement binds the parties as soon as the signatures are signed.
The transmission by Fax or E-mail is considered by the signatory parties as document having value of
original.

Les parties sont dès lors liées à la date de signature par la composition anglaise et française de cet
accord.
Cette convention engage les parties dès l´apposition des signatures.
La transmission par Fax ou E-mail est considérée par les parties signataires comme document ayant
valeur d´original.
ARTICLE 13.

TERM & CONDITIONS:

This Basic Fee Protection Agreement covers the original contract and includes all renewals,
extensions, rollovers, additions, or any new contracts or transfer contracts, regardless of whether such
transaction originates from the above intermediaries or
any change in the codes of the initial contract concluded between the APPLICANT C D E F G H I and
This Basic Royalty Protection Agreement and all Payment Orders issued
later are non-assignable, non-transferable, indivisible and therefore cannot be modified without the
express written and notarized consent of Party A. The parties agree neither to circumvent nor to
attempt to circumvent either for the transaction of this contract in progress or in the future for a period
of ten (10) years from the date of execution of this protection agreement. This document is binding on
all parties, their employees, associates, assignees or delegates.

All signatures sent by facsimile and/or email will be deemed original signatures for the purpose of
binding all parties hereto.
OK. This document can be signed and in an unlimited number of counterparts all together and
constitute one and the same instrument.

Any party may enter into this document and the agreement so formed by signing any consideration at
any time, date or period mentioned in any provision of this document shall not be modified except by
agreement in writing and signed by all parties concerned. Furthermore, we agree that all commissions
due will be paid to the beneficiaries following any extension or contract rolls and that we carry out all
necessary documentation with the bank without undue delay to ensure its commissions and paid
within the terms of the OK.

TERMES et CONDITIONS:

Cet accord de protection des honoraires de base couvre le contrat initial et comprend tous les
renouvellements, extensions, renversements, les ajouts ou tout nouveau contrat ou contrat de
transfert, quelle que soit l'origine de cette transaction en raison des intermédiaires ci-dessus ou
tous changement des codes du contrat initial conclu entre le DEMANDEUR C D E F G H I et
l’EXECUTANT A et B.
Cet accord de protection de la redevance de base et tous les ordres de paiement émis
ultérieurements sont incessibles, intransférables, indivisibles et ne peuvent donc être modifiés sans le
consentement exprès écrit et notarié de la partie A. Les parties conviennent ni de contourner ni de
tenter de contourner soit pour la transaction de ce contrat en cours ou dans le futur pour une période
de dix (10) ans à compter de la date d'exécution de cet accord de protection. Ce document lie toutes
les parties, leurs employés, associés, cessionnaires ou délégués.

Toutes les signatures envoyées par télécopie et / ou par courrier électronique seront considérées
comme des signatures originales dans le but de lier toutes les parties à la présente.

Toute partie peut entrer dans ce document et l'accord ainsi constitué en signant n'importe quelle

sera modifiée que par accord écrit et signé par toutes les parties concernées. En outre, nous
convenons que toutes les commissions dues seront payées aux bénéficiaires à la suite de toute
extension ou rouleaux de contrat et que nous effectuons toute la documentation nécessaire avec la
banque sans retard indu pour assurer ses commissions et payé dans les termes de l'accord.
ARTICLE 14.

PARTIAL INVALIDITY:
The illegality, invalidity and non-enforceable provision of this document under the laws of any
jurisdiction shall not affect its illegality, validity or enforceability under the law of any other jurisdiction
or provision.

INVALIDITÉ PARTIELLE:
L'illégalité, l'invalidité et la disposition non exécutoire de ce document en vertu des lois de toute
juridiction n'affecteront pas
son illégalité, validité ou force exécutoire en vertu de la loi de toute autre juridiction ou disposition.

GOVERNING LAW AND JURISDICTION:

This document shall be governed & construed in accordance with current English or I.C.C
400/500/600 signed between partners NCND laws.

LOI APPLICABLE ET JURIDICTION:

Ce document est régi et interprété conformément à l’anglais en vigueur ou ICC 400/500/600 signé
entre
les lois des partenaires NCND.

ARTICLE 15.

ARBITRATION:
All parties agree to refer any disputes between the parties arising out of or in connection with this
agreement including any questions regarding its existence, validity or termination to arbitration rules of
the international arbitration centre
(I.A.C). The appointed arbitrator shall hold the proceedings in any country chosen by the parties and
the rules of the IAC shall apply.
This document is signed and accepted by parties named below as to be included in the main contract.

ARBITRAGE:
Toutes les parties conviennent de renvoyer tout litige entre les parties découlant de ou en relation
avec cet accord, y compris
toute question concernant son existence, sa validité ou sa résiliation par le centre d'arbitrage
international
(IAC). L'arbitre désigné doit tenir les procédures dans tout pays choisi par les parties et les règles du
CCI doit s'appliquer.
Ce document est signé et accepté par les parties nommées ci-dessous pour être inclus dans le
contrat principal.
