Duties as a Mid-level Associate in the Corporate and Mergers & Acquisition Department:

▪ Managing a team of 3 Lawyers and 2 jurists ;


▪ Working on the development of the templates, practice notes and legal opinions.
▪ Drafting of memoranda, articles, legal commentaries, client briefings.
▪ Supervising paralegals and interns in the development of knowledge documentation, and
internal processes.
▪ Managing the legal training of directors of local administration in the framework of the Doing
Business Program (World Bank).
▪ Liaising with the Business Development and Marketing team and contributing to the
production of articles, briefings, newsletters or other materials for circulation to clients or to
be published in Law Update and other selected journals.
▪ Working with the Partners, counsel, and associates to identify the best practices, know-how
and learning requirements of the practice and to implement the agreed offering.
▪ Drafting and reviewing commercial agreements and supply agreements for the clients in the
Mena and Africa regions.
▪ Drafting Articles of Association, minutes of the Board meetings, minutes of the general
meetings, shareholders’ agreements and subscription agreements, as well as Memorandums
of Understandings, Letters of intention.
▪ Managing the day to day needed legal support of more than 30 customers, including Energy
companies, Pharmaceutical Companies, IT companies and Logistics Companies.
▪ Communicating regularly with clients, attending meetings, taking minutes of meetings,
drawing up action plans.
▪ Managing due diligences and drafting and consolidating due diligence reports.

• Drafting of loan and guarantee contracts for International Finance


Corporation (IFC) for the benefit of financial groups in North Africa.

▪ Proposed restructuring of the Ooredoo Group in partnership with Eversheds


Sutherland Qatar.

▪ Establishment of Cinéma Pathé Gaumont in Tunisia as the first cultural


multiplex chain in Tunisia.

▪ Working on the establishment of the first electronic


payment institution in Tunisia set up by the three
teleoperators Ooredoo, Orange and Tunisie Telecom.

• Drafting aircraft sales and leasing contracts for Boeing.

▪ Drafting commercial contracts for Nokia for its subsidiaries in Africa (Gabon,
Ivory Coast).

▪ Working on fundraising for the startup Instadeep.

• Structuring Scatec Solar's investment in Tunisia and assisting it to win the


tender for photovoltaic panels.

Development (EBRD) in respect of the acquisition of a stake in an Algerian
Bank.

▪ Managing the acquisition of the assets of the British company Integration


Objects by Emerson (US).

▪ Representing Infor (US), in respect of the acquisition of a high-tech


company in Tunisia.

▪ Supporting International Finance Corporation (IFC) in respect of the


acquisition of a stake in a Tunisian Bank.

establishment in Tunisia through the acquisition of two Tunisian companies
