Publishing Agreement

THIS AGREEMENT (hereinafter called the Agreement) is made this 02/01/2023

between BookLeaf Publishing (hereinafter called the “Publisher”) and Tasneem Bano
First Name Last Name

(hereinafter called the “Author”, which term shall be deemed to include the Author's executor,
devisees, heirs, and literary assigns).

WHEREAS, the Author desires the Publisher to publish his/her work titled Bloom Inside Out
Book Title

(hereinafter called the “Work”), and Publisher desires to publish the Work and sell it using its

exclusive bookstore and partner stores.

NOW THEREFORE in consideration of the promises hereinafter set forth and for valuable

consideration, receipt whereof is acknowledged, the parties agree as follows (READ THE TERMS &
CONDITIONS THOROUGHLY):

1. Grant of Publishing Rights


A. The Author hereby grants and assigns to the Publisher the right to publish (i.e., print, publish,

and sell) the Work in all forms, while the work will still belong to the Author.

2. Copyright
As the work is being self-published, the Author will be the sole owner of Copyright of the book.
She/he can edit, un-publish, and re-publish the work if she/he wills to.

3. Style, Price, Promotion, Distribution

A. After consultation with the Author, the Publisher shall have the right, to publish in such format
and style, cover or covers, manner, and advertisement, and at such price, as it deems suitable and

agreed to by the parties. As mentioned earlier, the interior of the book (layouts, margins,
alignments, fonts, etc.) will be designed by the Publisher only.
B. If the Publisher wishes to make editorial changes or deletions in the Work manuscript, it shall

consult with the Author prior to publication about these changes, and only when the author
approves, the changes can be made.
C. All the distribution channels provided by Publisher will have the books but that won’t mean the

book will make sales automatically. A book may be available via all the distribution partners, but
in order to sell copies, the ways to promote or market it should be considered. This may be as
simple as creating a blog or contacting people to review and write about the book.

D. The book will be distributed in paperback on Amazon, and in eBook on BookLeaf Publishing
Bookstore and Smashwords' partner stores - except if the content doesn't meet the guidelines of
all their partner stores, in which case the distribution on third party stores like Amazon and

Smashwords' partner stores is not guaranteed. Distribution on BookLeaf Publishing Bookstore is

guaranteed in all circumstances.

4. Abuse

A. The Author agrees to work together, deal and behave with the Publisher in a professional
manner. Any kind of repeated pattern of inappropriate, false accusations, harassment, derogatory

or threatening speech directed towards the Publisher, its officers, staff, and contractors will not be

tolerated. The Publisher has the right to take strict action, legal steps, abiding the law and resume
the development process and any related Services right away offering no refund or guarantees to

the Client. The Publisher has zero-tolerance for abuse and harassment.

5. Advertising and Promotion

A. The Publisher shall have the right to determine the time, place, method and manner of

advertising and promotion of the Work provided the Publisher has consulted with the Author.
B. The selling price of the book will be finalized by our sales experts based on their experience and

observations of the market.

6. Reserved Rights

All rights in the Work now existing or which may hereafter come into existence, except those

hereby specifically granted to the Publisher are reserved to and by the Author for Author’s use.

7. Royalties

A. The Author shall receive 100% royalty on each copy sold globally and the Publisher does not
hold rights to take any profits from the sale of the Work.

Point to be noted that MRP (selling price) of book and Royalty are not the same. MRP is the price

at which the book is being sold, while the royalty is the profit that is received after the printing
cost, seller fee, etc. are paid from the MRP amount.

For example, if the book is being sold at 150 INR but its printing cost is 50 INR and selling fee is

10 INR, then the cost here is 60 INR and the profit remaining is 90 INR. That 90 INR of profit is the
royalty of author.

The royalties are paid on an annual basis.

8. Entire Agreement

This Agreement sets forth the entire agreement of the parties, and replaces and supersedes any

previous agreement between the parties on the subject, whether oral or written, express or implied.
The parties hereto have executed this Agreement the day and year first above written:
