    We, (a) BUQUES DEL PACÍFICO S.A.C. (hereinafter called “the Transferors”) having our registered office at Pasaje el Carmelo
    #125, Lima 33, Perú, in consideration of the sum of United States Dollars One million 9 hundred thousand and 50/100 (US$
    1,900,000.00) paid to us by (b) (Panameña Cerro Verde?). (hereinafter called “the Transferee(s)”) having its registered office at
    (confirmer dirección de panameña) the receipt whereof is hereby acknowledged, herein transfer all the shares in the Ship above
    particularly described, and in her boats and appurtenances, to the said Transferee(s).

    Further, we, the said Transferors for ourselves and our successors covenant with the said Transferee(s) and its assigns, that we have
    power to transfer in manner aforesaid the premises hereinbefore expressed to be transferred, and that the same are free from all
    charters, encumbrances, mortgages, taxes and maritime liens and any other debts or claims whatsoever.

    In witness whereof the Transferors have caused this Bill of Sale to be duly executed as a Deed on (Month) (day), 2020.
