    Terms and Conditions for use of Toray DS2

    1. License Grant

    Toray DS2 is the sole property of Toray Industries, Inc. ("Toray"). Only
    licensed parties who agree to be legally bound by the terms set forth herein
    ("You") may use the program without charge for use. The rights granted to
    You constitute a limited license to install and operate Toray DS2 on a computer
    work station and not a transfer of title. You may not 1) use, copy, modify
    or distribute Toray DS2 except as expressly permitted in this document; 2)
    reverse assemble, reverse compile, otherwise translate, or reverse engineer
    Toray DS2 by any means without prior written consent of Toray; or 3) sublicense,
    rent, or lease the Program, without prior written consent of Toray. Toray
    DS2 is protected by copyright of Toray. You may not remove any copyright or
    other property notice of Toray DS2. Toray reserves all rights not expressly
    granted to you.

    2. Termination

    Toray reserves the right to terminate the license hereunder at any time and
    to request You or any third party to remove Toray DS2 from computers and file
    systems.

    3. Disclaimer of Warranty, Limitation of Remedies

    ANY USE OF TORAY DS2, THE INFORMATION OBTAINED FROM THE PROGRAM OR ANY SOFTWARE
    OBTAINED FROM ANYWHERE OTHER THAN TORAY’S WEBSITE IS AT YOUR SOLE RISK. THE
    PROGRAM IS PROVIDED ON AN "AS-IS" BASIS ONLY, WITH NO WARRANTIES OR GUARANTEES
    WHATSOEVER. TORAY ASSUMES NO LIABILITY FOR ANY SOFTWARE THAT IS DOWNLOADED
    TO YOUR COMPUTER SYSTEM. FURTHERMORE, TORAY DISCLAIMS ALL EXPRESS, IMPLIED,

    CLAIMS OR COSTS OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY DIRECT,
    INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY CONSEQUENTIAL OR PUNITIVE DAMAGES
    ARISING OUT OF ANY USE OF TORAY DS2.

    The information including, but not limited to, data, projection or result
    obtained from the use of
    Toray DS is a prediction of an expected RO system's performance, based on the
    average performance expected when using Toray's standard water treatment
    membrane elements. In no event will such information be deemed to be
    automatically be warranted by Toray.

    4. Compliance with Laws

    You agree to comply with all international and national laws that apply to
    Toray DS2, including, but not limited to, the U.S. Export Administration
    Regulations, economic sanctions regulations administered by the Office of
    Foreign Assets Control, as well as similar restrictions issued by any
    government.

    5. Governing Law and Jurisdiction


    This Agreement shall be governed by and construed according to the laws of
    Japan without regard to the conflicts of law principles thereof. Exclusive
    jurisdiction and venue for all matters relating to this Agreement shall be
    in courts located in Tokyo, Japan, and You consent to such jurisdiction and
    venue.

    6. Miscellaneous

    This document contains the entire agreement between the parties hereto with
    respect to the subject matter hereof and supersedes all prior agreements and/or
    understandings (oral or written). Failure or delay by Toray in enforcing any
    right or provision hereof shall not be deemed a waiver of such provision or
    right with respect to the instant or any subsequent breach. If any provision
    of this document shall be held by a court of competent jurisdiction to be
    contrary to law, that provision will be enforced to the maximum extent
    permissible, and the remaining provisions of this document will remain in force
    and effect.
