FUNDSPROVIDERSTATEMENT/INVESTOR

Investorrepresentsandwarrantsthatithasfullcorporateresponsibilitypermissiontoenterintothis
Agreement. It hereby declares under penalty of perjury that the funds are good, clean, clear, ofnon-
criminal origin, and are free and clear of all liens, encumbrances and third-party interests.
BysigningthisAgreement,InvestorrepresentsandwarrantsthatitisgivingtoPaymasteranditsdesignated
Parties, full details of the operation, bank details, people direct contract details in orderthat the
Service Provider has full legal authority to download said cash funds via S2S Server
anddistributeandtransfercashfundsviaSwiftmessageUSDTORBTCasperagreedtermsandconditionsinth
isAgreement(tranches,accordingtotheagreedscheduleinthisagreement).Afterthe first tranche has
been concluded and payments, further tranches will be executed until the
fullamountstipulatedinthisAgreementhasbeenreachedandexhausted.Bothpartieswillthenmutuallydec
idetorenewthisAgreementandcommenceaccordinglyorceasetoworktogether.

This Agreementand thistransactioncan innowayberelatedto thepoliticalsituationin Russiaand in

Ukraine. Thepersons involved in this transactionhaveneverbeen involvedinpolitics
andarenotundersanctionsinanycountryintheworld.ThisAgreementisnotpoliticized.

The aboveproceduremust bestrictly adhered to, as wellas agreed,bythe Investor andReceiverand

Paymasters to work out the transaction. This is the procedure that must be followed: this is abank-to-
bank, screen-to-screen transaction and S2S protocol only. All operational
communicationswilltakeplaceontheserverscreensandswiftonly.Allinformationcommunicationswilltak
eplacewithparallelE-mailwaysecuredbythefollowingsequence:
Sender Operator ↔ Sender’s Representative ↔ Receiver’s Representative ↔ Receiver
Bank’sOfficer.

NON-SOLICITATION
ReceiverherebyconfirmsanddeclaresthatSender,itsassociatesorrepresentativesoranypersonor
personson itsbehalf has/haveneverbeen solicited by anyparty, its shareholders
orassociatesorrepresentativesinanywaywhatsoeverthatcanbeconstruedasasolicitationforthistransact
ionorforfuturetransactions.Anydelayinorfailureofperformancebyeitherpartyoftheir respective
obligations under this agreement shall constitute a breach hereunder and will giverise to claims for
damages if, and to the extent that such delays or failures in performance are notcausedby events or
circumstancebeyond thecontrolofsuchparty. The term “Beyondthe Controlof SuchParty” includesAct
of War, Rebellion, Fire, Flood, Earthquakeor
othernaturaldisasters.Anyothercausenotwithinthecontrolofsuchpartyorwhichisbyexerciseofreasonab
lediligence,thepartywillbeunabletoforeseeorpreventorremedy.
Thereceiverherebyconfirmsanddeclaresthatsender,itsassociatesorrepresentativesoranyperson
orpersons on its behalf has/have never been solicited by any party, its shareholders orassociates or
representatives in any way whatsoever that can be construed as a solicitation for thistransactionorfor
futuretransactions.

REPRESENTATIONSANDWARRANTIES

ORGANIZATION It is duly organized, validly existing and in good standing under the laws of
itsjurisdiction of formation with all requisite power and authority to enter into this Agreement,
toperformitsobligationshereunderandtoconductthebusinessoftheProgramandtheSubsidiaries.

ENFORCEABILITYThis Agreement constitutes the legal, valid and binding obligation of such
partyenforceableinaccordancewithitsterms.

CONSENTSANDAUTHORITYNoconsentsorapprovalsarerequiredfromanygovernmentalauthority or
other Person for it to enter into this Agreement. All action on the part of such
partynecessaryfortheauthorization,executionanddeliveryofthisAgreementandtheconsummationof
thetransactionscontemplatedherebybysuchparty,havebeendulytaken.

NO CONFLICT. The execution and delivery of this Agreement by it and the consummation of
thetransactionscontemplatedherebybyitdonotconflictwithorcontravenetheprovisionsofitsorganizatio
naldocuments orany agreementor instrumentby whichit or its properties or assetsare bound or any
law, rule, regulation, order or decree to which it or its properties or assets aresubject.

RECEIVER.Ithasbeenaffordedtheopportunitytoseekandrelyupontheadviceofitsownattorney,accounta
ntorotherprofessionaladvisorinconnectionwiththeexecutionofthisAgreement.ThePartiesshalldosoinr
espectofeachotherandunderthisAgreementwrittenconditions.

MISCELLANEOUSNotice(s)anymodifications,amendments,addendumsorfollow-
oncontractswillbeexecutedbythetwo authorizedsignatoriesrespectively. When
signedandreferencedtothisAgreement,whetherreceivedbymailorfacsimiletransmissionasallandanyfac
simileorphotocopies certified as true copies of the originals by the Parties hereto shall be considered
as anoriginal,bothlegallybindingandenforceableforthetermofthisAgreement.

SPECIFIC PERFORMANCE; OTHER RIGHTS. Parties recognize that several of the rights
grantedunderAgreementareuniqueand,accordingly,thePartiesshall,inadditiontosuchotherremediesas
maybe available to them at law or in equity, have the right to enforce their rights under
thisAgreementbyactionsforinjunctivereliefandspecificperformance.

PRIORAGREEMENTS;CONSTRUCTION;ENTIREAGREEMENT.ThisAgreement,includingtheAppendic
esandotherdocumentsreferredtoherein(whichformaparthereof),constitutestheentire agreement of
the Parties with respect to the subject matter hereof, and supersedes all
prioragreementsandunderstandingsbetweenthemastosuchsubjectmatterandallsuchprioragreements
andunderstandingsaremergedhereinandshallnotsurvivetheexecutionanddeliveryhereof.Intheeventof
anyconflictbetweentheprovisionsofthisAgreementandthoseofanyjointventureagreement,theprovision
softheapplicablejointventureagreementshallcontrol.

AMENDMENTS.ThisAgreementmaynotbeamended,alteredormodifiedexcept(i)upontheunanimousbyi
nstrumentinwritingandsignedbyeachofSenderandReceiver.

SEVERABILITY. If any provision of this Agreement shall be held or deemed by a final order of
acompetent authority tobe invalid, inoperative or unenforceable, such circumstance shallnot havethe
effect of rendering any other provision or provisions herein contained invalid, inoperative
orunenforceable,butthisAgreementshallbeconstruedasifsuchinvalid,inoperativeorunenforceable
provision had never been contained herein so as to give full force and effect to
theremainingsuchtermsandprovisions.

COUNTERPARTS. This Agreement maybeexecuted in oneor morecounterparts, allof which shallbe

considered one and the same agreement and shallbecome effective when one or
moresuchcounterpartshavebeensignedbyeachofthePartiesanddeliveredtoeachoftheParties.

APPLICABLELAW;JURISDICTION.ThisAgreementshallbegovernedbyandconstruedinaccordance
withthelawsoftheSingapore.

WAIVER OF JURY
TRIAL.ThePartiesheretoherebyirrevocablyandunconditionallywaivetrialbyjuryinanylegalactionorpro
ceedingrelatingtothisAgreementandforanycounterclaimtherein.

ARBITRATION.Everyattemptshallbemadetoresolvedisputesarisingfromunintendedorinadvertent
violation of this contractual agreement as far as possible amicably. In the event thatadjudication is
required, local legal process shall be preceded with according to the principal of
theICCasaboveindicated.
Where judicialresolution isnotthereby achieved, this matter shallbe settled by theICC itself andthe
decision of which the Parties shall consider to be final and binding. No State court of any
nationshallhavesubjectmatterjurisdictionovermattersarisingunderthisAgreement.

NO RIGHTSOFTHIRD PARTIES.(i) This Agreement is madesolely and specifically between

andforthebenefitofthepartiesheretoandtheirrespectivemembers,successorsandassignssubjectto
theexpress provisionshereofrelatingtosuccessorsandassigns.
(ii)nootherPersonwhatsoevershallhaveanyrights,interest,orclaimshereunderorbeentitledtoanybenefi
tsunderoronaccountofthisAgreementasathird-partybeneficiaryorotherwise.

SURVIVAL.The covenants contained in this Agreement which, by their terms, require

performanceaftertheexpirationorterminationofthisAgreementshallbeenforceablenotwithstandingthe
expirationorothertermination ofthisAgreement.

HEADINGS. Headings are included solely for convenience of reference and if there is any
conflictbetweenheadingsandthetextofthisAgreement,thetextshallcontrol.

CURRENCY.AnyexchangeoffundsbetweenSenderandReceivershallbemadeinthesamecurrencyinwhich
Sendertransferredtheinvestmentfund(ArticleIII;Section3.0.5.;(b)).Inaddition,allcalculationspursuantt
othisAgreementandanyjointventureagreementshallbebasedonICC regulations.
