2. Background

Uttar Pradesh is the largest agricultural producer State in India and is also home to
highest number of Micro, Small and Medium enterprises (MSMEs) in the country. The
State has been a traditional manufacturing and handicrafts hub of the country and
contributes significantly to national manufacturing output and exports, with major export
products being apparel, footwear, carpets, meat and edible meat, pearls and precious
stones, machinery, cereals and various handicrafts products among other items.
The MSMEs form the backbone of the manufacturing sector in Uttar Pradesh, which has
presence of large number of traditional industrial clusters, and account for almost 60
percent of the total industrial output in Uttar Pradesh, with over 90 lakh MSMEs providing
employment to more than one crore people. Most of these industrial clusters have
though seen decline in recent years and face severe challenges of remaining competitive
in increasingly globalized economy. Many of these industrial clusters suffer from acute
infrastructural inadequacies as these have remained neglected over the years and would
need strategic interventions aimed at not only infrastructure upgradation but also
enhancing access of enterprises in these clusters to modern technology, market, finance
and skills.

3. One District One Product Programme

The State Government has therefore launched an innovative One District One Product
(ODOP) Programme to provide new impetus to economy and make the growth process
decentralised and employment intensive. ODOP is aimed at optimal utilisation of
diversified and rich natural and human resources of the State to ensure balanced and
inclusive economic development. This Programme is essentially based on realisation of
distinct identity of handicrafts, agricultural and food processing and other products of
different districts of the State. ODOP Programme would cover every district of the State
and provide a composite package of support to selected product including increased
access to technology, market, finance and skills.
The major objectives of ODOP Programme are as follows:

- To provide employment to youth & artisans

- Preservation and development of local crafts/skills and promotion of the Art

- Addition in the income and local employment thus preventing migration for jobs

- Improvement in product quality and skill development

- Transforming the products with better aesthetics through packaging and


branding

- Resolving issues of economic difference and regional imbalance

With this background, the ODOP Cell, Lucknow, Department of MSME, Government of
Uttar Pradesh is keen to appoint a professionally competent Agency as Project
Management Consultant (PMC) in mapping of district level products, preparing a long-
term Strategy for technology upgradation, better access to finance, market, skills for
selected products, latest product design, better packaging, easy access to raw materials,
setting up of testing laboratories, appropriate Institutional framework and also provide
such other assistance that may be required for successful implementation of ODOP
Programme in particular MSME in general. This PMC shall be an agency having sound
understanding of enterprise development, cluster development, programme
management, with experience of working on Schemes and Programmes of various
Central Government Ministries and State Government Departments related to
development of industries and handicrafts and facilitating private sector investments.

4. Role of PMC / Scope of Work

The role and scope of work of the PMC shall include the following responsibilities:

1. Diagnostic Study Report (DSR) for 75 districts has been completed as per the
product allocated earlier. Now some additional products have been added in the
districts. Therefore, the DSR of additional product of those districts is also to be
prepared. PMC will prepare DSR report for each such district/product as given below:

2. Conceptualisation of the implementation strategy and promoting investments in the


sector –
a) Based on the DSRs prepared for district, make an inventory of priority/ key
interventions proposed at State level & District level in the following areas, but
not limited to –
b) Access to finance
c) Product design, production methods, quality of product and its marketability in
each district, average inventory manufactured, present level of process for
procurement & availability of the quality raw material and constraints faced
including pricing.
d) Access to technology, tool rooms, R&D inputs etc. for the product.
e) Skill development ecosystem including identification of skill gaps, identification of
job profiles and their relevant approved courses, creation of new courses, if
needed, based on the demand, the availability of training institutes, trainers and
implementation of skill development program through appropriate framework etc.
f) Preparation of strategy and plan for implementation of the proposed interventions.
g) In consultation with ODOP cell, prepare Detailed Project Reports (DPRs) for State
level and District-wise strategic intervention as suggested in the Detailed Study
Reports. The preparation of the DPRs will be done in phased manner over a
period of 03 to 04 months.
h) Estimation of project cost and proposed means of finance for proposed
infrastructure interventions.
i) DPRs should include component-wise cost and clearly indicating proposed
sources of fund, both under ODOP Programme and other Central and State
Government Schemes or private investments for approved interventions
3. Branding, marketing and outreach of ODOP/Industries Programme
a) The PMC shall prepare a strategy for promoting ODOP Programme and in turn
attract investments in existing District Level Industrial Clusters identified under
ODOP Programme.
b) Assist in identification of policy level interventions required for promoting products
and districts identified under ODOP Programme.

c) The PMC will have to develop an action plan for ODOP promotion strategy/
program
d) Preparation of promotional information and innovative toolkits on the product/
district/ scheme etc.
e) Effective Marketing strategy of Products through creation of common cluster
platforms/ common branding of ODOP products, standardization and using modern
tools such as E-portals and e-markets
f) Develop outreach plan promoting adoption of New Designs, Technologies and Best
Manufacturing Practices
g) Reach out to agencies like QCI, NABL, etc. for standards and testing facilities.
h) Facilitating better access to finance through available Central and State Government
Schemes including MUDRA, PMEGP, Mukhya Mantri Yuva Swarojgar Yojna and
Vishwakarma Shram Samman Yojna etc. and under the proposed ODOP financing
interventions.
i) Organizing MSMEs, Artisans, designers, manufacturers, associations etc. into
institutional framework for implementation of strategic interventions.
j) Assist in identifying best practices under similar programs world over (for specific
products and the programs as whole) and translate them to suit the needs of
selected specific products and the ODOP program.
k) Develop a structure and generate content for ODOP and MSME website and
coordinate with website developer for developing user friendly platform.
l) Assist in skill training and capacity building of resources for higher efficiency in
Industries Sector.
4. Actual implementation of the ODOP program and approved Industries interventions
thereof:
a) Assist in effective implementation of approved strategy and approved interventions
at the State & District level
b) Investment Promotion, marketing & branding for ODOP and MSME
 Assist in identifying and approaching potential investors with investment plans for
ODOP promoted products
 Assist GoUP in organising district and product centric events from time to time as
per approved strategy

 Assist GoUP in participating at various events of national and international


importance to promote ODOP.
 Assist in planning sessions, seminars, scheduling the topics, preparation of
background papers, identification of speakers, inviting and approaching the
speakers etc.
 Coordinating with state, national and foreign country level authorities in
organising B2B & B2G meetings with business/industrial associations, Govt
agencies, Trade promotions bodies etc.
 Provide handholding of investors, providing policy/ incentive information, support
in access to finance, creating marketing linkages, etc.
 Assist in bid process management for procuring materials and services required
for approved interventions
 Assist in participation of local producers in international product specific leading
marketing events
 Invite major national/ international players to provide forward linkages to
available products
 Transfer of technology and designs to local ODOP players to improve product
usage
 Tie up with firms for to provide credit to local enterprises, improve credit ratings,
access to SME/ stock exchanges
 Assist in setting up of implementation structures for various interventions in the
form of Special Purpose Vehicles (SPV) which may include MSME beneficiaries
and other stakeholders
 Assist in backward and forward market linkages, establishing collaboration deals
with e-commerce portals, banks, distribution networks, IT solutions etc.
 Establishing linkages with academic & R&D institutes for product/ technology
upgradation, technical assistance etc.
 Designing MlS frame-work for effective monitoring of implementation process
 Preparation/ finalization of District Action Plans (DAPs)/ Export Action Plans
(DEAPs) and providing implementation support for the same.
 Facilitating GI tagging of ODOP products i.e., making focus efforts to get GI tag
for majority of ODOP products; assisting DIEPCs/ industry associations in
research and documentation pertaining to application of GI tag; on-boarding

legal agency required for filing and pursuing GI application in GI Registration


Office, Chennai; coordinating with legal agency for filling for more and more
ODOP applications and progress made in getting the GI tag; creating awareness
workshops to educate ODOP artisans/ units about the benefits of using GI tag.
 Facilitating Implementing roll-out of State/ Central Government owned/ promoted
e-commerce initiative.
 Facilitating and implementing G2G/ G2B MoUs, for aiding ODOP programme in
particular and Industries in general.
c) Assistance in implementation of approved interventions through effective
coordination amongst MSMEs, concerned government departments, banks and
financial institutions, materials and service providers etc.
d) Assist in capturing initial data of district wise products in terms of number of units,
entrepreneurs, artisans or workers engaged, their skill level, production and
turnover of all the units, domestic and international marketing status etc. During
the period of implementation of ODOP Programme arrange to submit Monthly
Progress Reports capturing impact in terms of increased technology, market and
financial linkages, skill development, employment creation, increased turnover and
exports etc.

No Consortiums shall be allowed for this project.

8. Earnest Money Deposit (EMD)


The Bidder shall furnish as part of its Proposal, an EMD of Rs. 5,00,000/- (Rupees
Five Lakhs only) (refundable) to be paid through NEFT or RTGS before the bid
submission end date and time. The payment has to be made to the account of
Upayukt Udyog Jilla Protsahan Tatha Udhyamita Vikas Kendra, Lucknow, Department
of MSME as per details mentioned below –

i. The payment advice/ receipt/ UTR Number should be submitted along with each

ii. Proposals for which EMD is not received shall be rejected by the ODOP Cell as non-

iii. The ODOP Cell shall not be liable to pay any interest on the EMD and the same shall
be interest free.
iv. Micro and Small Enterprises and Industrial Co-operatives within State which are
certified as such by the Commissioner and Director of Industries or by Deputy
Commissioner, District Industries Centre, are exempted in respect of certified items
from furnishing earnest money deposit in support of tenders submitted by them.
v. EMD shall be returned to the unsuccessful Bidders within a period of one month from
the date of issue of Work Order to the Successful Bidder. EMD submitted by the
Successful Bidder shall be returned one week post the submission of Performance
Security.
vi. The Bidder, by submitting its proposal pursuant to this RFP, shall be deemed to have
acknowledged that without prejudice to the ODOP Cell‟s any other right or remedy
hereunder or in law or otherwise, the EMD shall be forfeited and appropriated by the
ODOP Cell under the following conditions:
(i) If a Bidder engages in any of the Prohibited Practices; or
(ii) If a Bidder withdraws its Proposal during the period of its validity as specified in this
RFP and as extended by the Bidder from time to time; or
(iii) If the Selected Bidder fails to clarify or reconfirm its commitments
(iv) In the case of a Selected Bidder, if the Bidder fails to sign the Agreement; or
(v) If Performance Security is not deposited by the successful bidder

9. Indemnity

The Selected Bidder shall, subject to the provisions of the Agreement, indemnify the
ODOP Cell, Lucknow limited to the total professional fees for this project for any direct
loss or damage that is caused due to any deficiency in services.

10. Limitation of Liability

The aggregate liability of the PMC for direct damages towards ODOP Cell, Lucknow,
Department of MSME shall not exceed the contract value. Also, the Consultant shall not
be liable for any indirect or consequential damages incurred by ODOP Cell, Lucknow,
Department of MSME.

11. Clarifications from Bidders

i. Bidders requiring any clarification on the RFP may send their queries to the ODOP
Cell, Lucknow in writing (by [email protected] only) before the date
mentioned in the Schedule of Selection Process
ii. Pre-Bid Meeting shall be convened at the designated address, date and time as
specified in the Schedule of Bidding process. A maximum of two representatives of
each Bidder shall be allowed to participate in the Pre-bid meeting. During the course
of the Pre-Bid meeting, the bidder(s) will be free to seek clarifications and make
suggestions for consideration of the ODOP Cell.
iii. The ODOP Cell, Lucknow reserves the right not to respond to any questions or
provide any clarifications, in its sole discretion, and nothing in this Clause shall be
taken or read as compelling or requiring the ODOP Cell to respond to any question or
to provide any clarification.
iv. The Nodal Authority will post the reply to all such queries on the gem portal only.

12. Amendment / Modification of RFP

i. At any time prior to the deadline for submission of Proposal, the ODOP Cell, Lucknow
may, for any reason, whether at its own initiative or in response to clarifications
requested by the Bidder, modify the RFP document by the issuance of Modified RFP/
Addendum/ Amendment/ Corrigendum through posting it only on e-procurement
portal.
ii. All such amendments/modified RFP will be posted only on the e-procurement Portal
(https://gem.gov.in/) and shall not be published in any newspaper and will be binding
on all Bidders.
iii. In order to afford the Bidders a reasonable time for taking an amendment into
account, or for any other reason, the ODOP Cell, Lucknow may, in its sole discretion,
extend the Proposal Due Date.

13. Format and signing of e-bids

a. Bidders are expected to examine all instructions, forms, terms and conditions,
requirements, and qualifications in the Tender documents. Failure to furnish all the

information required or submission of a Bid not responsive to the RFP document


in every respect will be at the Bidder‟s risk and may result in the rejection of bid.
b. The authorized signatory of the Bidder (who shall sign the bid) shall sign all the
pages/documents of the bid before converting them into PDF and uploading them
as bidding documents.

13.1. Proposal shall comprise the following:


a. The Bidder shall be responsible for accuracy and correctness of its bid as per the
RFP document version uploaded by the Owner and shall ensure that there are no
changes caused in the content of the downloaded document.
b. Technical Proposal
 Payment advice/ receipt/ UTR Number paid as Earnest Money Deposit.
 Filled annexures as mentioned in this RFP
c. Financial Proposal
Financial Proposal will be uploaded on the gem portal(https://gem.gov.in/) and
marked as Part II Submission- Financial Bid.
i. Each page of the Technical eBid shall be numbered and signed by an authorized
signatory of the Bidder holding the Power of Attorney (the “Authorized
Representative”). A copy of the Power of Attorney certified under the hands of a
director of the Bidder or a notary public on the specified form shall accompany the
Proposal.

14. Submission of e-Bids


i. The bid submission module of e-procurement portal https://gem.gov.in/ enables
the Bidders to submit their bid online against the Tender published by the Nodal
Authority. Bids can be submitted only from the Bid submission start date and time
till the Bid due date and time specified in the bid. Bidders must start the bid
submission process well in advance so that they can submit their bid in time
ii. The Bidders should submit their Bids considering the server time displayed in the
gem portal. This server time is the time by which the bid submission activity will be
allowed till Bid due date indicated in the Tender schedule. Once the Bid due date
and time is over, Bidders will not be able to submit their Bids. Bidders shall be
solely responsible for delays in submission of Bids due to any reasons.

iii. Bidders must follow all the instructions laid out below for submission of their Bids:
a. For participating in Tender through a e-procurement gem portal, it is
necessary for Bidders to be registered users of the portal
iv. Except as specifically provided in this RFP, no supplementary material will be
entertained by the Owner, and that evaluation will be carried out only based on bid
documents received by the closing time of Bid due date. Bidders will ordinarily not
be asked to provide additional material information or documents after the date of
submission, and unsolicited material if submitted will be summarily rejected.
v. The rates quoted in the Financial Bid shall be firm throughout the period of
performance of the assignment up to and including discharge of all obligations
under the Agreement.
vi. The Owner may, in its sole discretion, extend the Bid due date by issuing an
Addendum in accordance with Clause 13 uniformly for all Bidders.
vii. All proposals and accompanying documentation will become the property of the
ODOP Cell, Lucknow and will not be returned.
viii. It shall be deemed that prior to the submission of the Proposal, the Bidder has:
a. Made a complete and careful examination of terms and conditions/ requirements,
and other information as set forth in this RFP Document.
b. Received all such relevant information as it has requested from the ODOP Cell,
Lucknow and Made a complete and careful examination of the various aspects of
the Project.
c. The ODOP Cell shall not be liable for any mistake or error or neglect by the
Bidder in respect of the above.

15. Late Bids

The server time indicated in the „Bid Management‟ window on the Gem portal will be
the time by which the bid submission activity will be allowed till Bid due- date and time
scheduled in the Gem. Once the Bid due-date and time is over, a Bidder will not be
able to submit their Bid. Bidders are advised to start the bid submission well in
advance to ensure timely submission of bids. The Owner shall not be responsible for
any delays in submissions on the gem portal.

16. Withdrawal and Resubmission of e-bids

Modification of the submitted bid shall be allowed online only before the deadline of
submission of tender and the bidder may modify and resubmit the bid on gem portal.
Please refer to the GEM portal guidelines, before initiating the withdrawal of the bid.
Department holds no responsibility for the bidder withdrawing the bid.

17. Receipt and opening of e-Bids

i. Bidders are advised to submit their e-Bids in `Two-Bid‟ system with Technical and
Financial bids separately on e-procurement portal. Please note that prices should not
be quoted in the Technical Bid. The Prices should be quoted in the Financial Bid only.
On receipt on e-procurement portal, the Technical Proposals will be opened in the
office of ODOP Cell at Lucknow
ii. ODOP Cell, Lucknow will open all e-Bids, in the presence of bidder‟s authorized
representatives who choose to attend the Bid Opening, at the office of ODOP Cell,
Lucknow. The bidder‟s representatives who are present shall record their attendance
on the attendance sheet. In the event of the specified date of eBid opening being
declared a holiday for the ODOP Cell, Lucknow the eBids shall be opened at the
appointed time and place on the next working day.
iii. The bidder‟s names & the presence and other details as the ODOP Cell, Lucknow at
its discretion may consider appropriate, will be announced at the opening of the
eBids. The names of such bidders not meeting the qualification requirement shall be
notified subsequently.
iv. After evaluation of technical e-Bids, the ODOP Cell, Lucknow shall notify those
bidders whose e-Bids were considered non-responsive to the Conditions as
mentioned in this RFP Document and not meeting the Qualification Requirements
indicating that they did not technically qualify for selection as PMC for this project.
The ODOP Cell, Lucknow will simultaneously notify on the e-procurement portal
https://gem.gov.in/, who‟s technical eBids were considered acceptable and have been
shortlisted for the presentation and opening of their financial e-Bids.

v. The ODOP Cell, Lucknow reserves the right to reject any Proposal not submitted on
time and which does not contain the information/documents as set out in this RFP
Document. The ODOP cell, Lucknow also reserves the right to reject/ cancel the bid
as whole
vi. To facilitate evaluation of Proposals, the ODOP Cell may, at its sole discretion, seek
clarifications in writing from any Bidder regarding its Proposal.

18. Award of Work

After selection, a Letter of Award (the “LOA”) shall be issued by the ODOP Cell to the
Selected Bidder and the Selected Bidder shall, within 7 (seven) days of the receipt of the
LOA accept the same. In the event of non-receipt of acceptance of the LOA by the
Selected Bidder by the stipulated date, the ODOP Cell may, unless it consents to
extension of time for submission thereof, forfeit the EMD of such Applicant, and the next
eligible Bidder may be considered.

19. Intellectual Property Rights

Client may use data, software, designs, utilities, tools, models, systems and other
methodologies and know-how (“Materials”) that Consultant owns in performing the
Services. Notwithstanding the delivery of any Reports, Consultant retain all intellectual
property rights in the Materials (including any improvements or knowledge developed
while performing the Services), and in any working papers that Consultant compile and
retain in connection with the Services (but not Client Information reflected in them).Upon
payment for the Services, Client may use any Materials included in the Reports, as well
as the Reports themselves as permitted by this Agreement.

20. Confidentially

Except as otherwise permitted by this Agreement, neither of the parties may disclose to
third parties the contents of this Agreement or any information provided by or on behalf
of the other that ought reasonably to be treated as confidential and/or proprietary. Parties
may, however, disclose such confidential information to the extent that it: (a) is or
becomes public other than through a breach of this Agreement, (b) is subsequently

received by the receiving party from a third party who, to the receiving party‟s knowledge,
owes no obligation of confidentiality to the disclosing party with respect to that
information, (c) was known to the receiving party at the time of disclosure or is thereafter
created independently, (d) is disclosed as necessary to enforce the receiving party‟s
rights under this Agreement, or (e) must be disclosed under applicable law, legal process
or professional regulations. These obligations shall be valid for a period of 3 years from
the date of termination of this Agreement.

21. Performance Security

Upon receipt of Letter of Award (LOA) from the ODOP Cell, the successful Bidder shall at
its own expense furnish the Performance Security of an amount equal to 3% of the fee by
way of Bank Guarantee for the due performance of the Contract in the format of
Performance Security Form before signing of the agreement for the assignment. All
incidental charges whatsoever such as premium, commission etc. with respect to the
Performance Guarantee shall be borne by the Bidder. The Performance Guarantee shall
be valid for six months post completion of the project satisfactorily. Subject to the terms
and conditions in the Performance Bank Guarantee, at the end of 06 (six) months, the
Performance Bank Guarantee may be discharged/ returned by the ODOP Cell upon
being satisfied that there has been due performance of obligations of the Bidder under
the Agreement. However, no interest shall be payable on Performance Guarantee.

22. Execution of Agreement

After acknowledgement of the LOA as aforesaid by the Selected Bidder, it shall execute
the Agreement post submission of the Performance Security. The Selected Bidder shall
not be entitled to seek any deviation in the Agreement. If the Selected Bidder fails to
submit the Performance Security and fails to sign the Agreement, its EMD shall be
forfeited and appropriated by the ODOP Cell. In such an event, the ODOP Cell may
invite the Second Ranked Bidder for negotiations and may issue LOA to him.

23. Period of Contract:

The Contract would be assigned for a period of two years.

24. Extension of Contract:

Based on mutual agreement/ consent, the contract may be considered for extension after
expiry of the two years for another one or two years subject to requirements of the ODOP
Cell satisfactory performance on part of the successful bidder on same terms and
conditions.

25. Process of Selection

Considering nature of expertise required, in deciding the final selection of PMC, the
technical quality of the proposal will be given a weightage of 70 % in criteria for
evaluation. The financial bids of only those bidders, who qualify technically with 70% and
above score, will be opened.

The proposal with the lowest cost will be given a financial score of 100 and the other
proposals given financial scores that are inversely proportional to their prices. The
financial proposal shall be allocated a weight age of 30%. For working out the combined
score, following formula would be used:
Total Points: (0.7 x T(s)) + (0.3 x 100 x LEC/EC), where T(s) stands for technical score,
EC stands for Cost of the Financial Proposal, LEC stands for Lowest Cost of the
Financial Proposal. The proposals will be ranked in terms of total points scored. The
proposal with the highest total points (H-1) will be considered for award of contract and
will be called for negotiations, if required.
Example: if in response to this RFP, four proposals, A, B, C & D were received and the
Evaluation Committee awarded them 75, 80, 90 and 50 marks respectively, then only
three proposals would be technically qualified (A, B & C). Further, if the quoted price of
proposals A, B & C were Rs.120, 100 & 110 respectively, then the following points for
financial proposals may be given:

A: (100/120)*100= 83 points
B: (100/100)*100= 100 points
C: (100/110)*100= 91 points
In the combined evaluation, the process would be as follows:
Proposal A: 75 x 0.7+ 83 x 0.3 = 77.4
Proposal B: 80 x 0.7 +100 x 0.3 = 86
Proposal C: 90 x 0.7+ 91 x 0.3 = 90.3

 Proposal C would be considered the H1 and would be recommended for


negotiations, if considered necessary for approval.
 After opening of financial proposals, the bidder/consultant will be declared eligible
for award of the contract. This selected consultant will then be invited for
negotiations, if considered necessary.

26. Technical Proposal:

The Technical Proposal should be divided into the following sections:


a. Technical Proposal cover letter (format given at Annexure 1)
b. Section 1: Brief profile of the firm along with Audited Financial Statements for the last
five financials years (brochures/ printed material could be provided as annexure).
c. Section 2: Understanding of the scope of work.
d. Section 3: Approach and methodology along with work plan.
e. Section 4: Compliance to the technical criteria under Competency and Expertise
Requirements section above (please provide documentary evidence in respect of
compliance wherever possible). The information on the projects cited under this
criterion is to be provided in the format provided at Annexure 11.
f. Section 5: Proposed team for the assignment along with brief CVs of in-house
professionals

27. Financial Proposal:


The financial consideration for the PMC would be a fixed amount which would include
all expenses like boarding, lodging, meals, travel expenses etc. to be incurred by
PMC for delivering the services under given scope of work.

The evaluation of the proposal shall be done based on the fixed fee quoted. The
Financial Bid uploaded by the Bidder on the gem portal.

28. Team members for the project-Total 24 personnel


a. The Selected Agency will have to depute the 10 personnel for the entire duration of
the project full time in the headquarters ODOP Cell, Lucknow, 04 personnel in the
headquarter Directorate of Industries, G.T. Road, Kanpur and and 10 personnel are
to be posted in the following divisions:- Agra, Meerut, Bareilly, Moradabad,
Lucknow, Kanpur, Varanasi, Prayagraj, Gorakhpur and Azamgarh.
b. The work of the following divisions also will be performed by the divisional

d. The Selected Agency shall not change any person whose Curriculum Vitae (CV) has
been submitted without prior permission of ODOP Cell.
e. In addition to the key personnel mandated in this RFP, subject matter experts
(SMEs) might need to be engaged by the agency as and when required by the
department during preparation of DPRs. The engagement of such personnel will be

done in consultation with ODOP Cell and with prior approval. The minimum
experience of such SMEs must be at least 8 years. Additional payment will be made
on pro-rata basis.
f. The ODOP Cell will not normally consider any request of the Selected Agency for
substitution of Key Personnel. Substitution, will, however be permitted if the Key
Personnel is not available for reasons of any incapacity or due to health, subject to
equally or better qualified and experienced personnel being provided to the
satisfaction of the ODOP Cell. The ODOP Cell expects all the Key Personnel to be
available during Implementation of the Agreement.

29. Evaluation Criteria

necessary or require to supplement or authenticate the Bid.
5. We acknowledge the right of the ODOP Cell to reject our Proposal without assigning
any reason or otherwise and hereby waive our right to challenge the same on any
account whatsoever.
6. We certify that we have neither failed to perform on any contract, as evidenced by
imposition of a penalty or a judicial pronouncement or arbitration award, nor been
expelled from any project or contract nor have had any contract terminated for breach
on our part nor blacklisted by any state/ central Government or their agencies
including Central/State Level Public Enterprises..

A. We have examined and have no reservations to the Bidding Documents,


including any Addendum issued by the ODOP Cell.

any corrupt practice, fraudulent practice, coercive practice, undesirable
practice or restrictive practice, as defined in the RFP document, in respect of
any tender or request for proposal issued by or any agreement entered into
with the ODOP Cell or any other public sector enterprise or any government,
Central or State; and
D. We hereby certify that we have taken steps to ensure that in conformity with
the provisions of the RFP, no person acting for us or on our behalf has
engaged or will engage in any corrupt practice, fraudulent practice, coercive
practice, undesirable practice or restrictive practice.
8. We understand that you may cancel the Bidding Process at any time and that you are
neither bound to accept any Proposal that you may receive nor to invite the Bidders to
Bid for the Assignment, without incurring any liability to the Bidders, in accordance
with the RFP document.
9. We declare that we are not a Member of any other firm submitting a Proposal for the
Assignment.
10. We certify that in regard to matters other than security and integrity of the country, we
have not been convicted by a Court of Law or indicted or adverse orders passed by a
regulatory authority which could cast a doubt on our ability to undertake the
Assignment or which relates to a grave offence that outrages the moral sense of the
community.
11. We further certify that in regard to matters relating to security and integrity of the
country, we have not been charge-sheeted by any agency of the Government or
convicted by a Court of Law for any offence committed by us or by any of our
Associates.
12. We further certify that no investigation by a regulatory authority is pending either
against us or against our Associates or against our CEO or any of our Directors/
Managers/ employees.
13. We undertake that in case due to any change in facts or circumstances during the
Bidding Process, we are attracted by the provisions of disqualification in terms of the

guidelines referred to above, we shall intimate the ODOP Cell of the same
immediately.
14. We hereby irrevocably waive any right which we may have at any stage at law or
howsoever otherwise arising to challenge or question any decision taken by the
ODOP Cell in connection with the selection of the Bidder, or in connection with the
Bidding Process itself, in respect of the above mentioned Assignment and the terms
and implementation thereof.
15. In the event of our being declared as the successful Bidder, we agree to enter into an
Agreement in accordance with the draft that has been provided to us prior to the
Proposal Due Date. We agree not to seek any changes in the aforesaid draft and
agree to abide by the same.
16. We have studied all the Bidding Document carefully. We understand that except to
the extent as expressly set forth in the Agreement, we shall have no claim, right or
title arising out of any documents or information provided to us by the ODOP Cell or
in respect of any matter arising out of or concerning or relating to the Bidding Process
including the award of Concession.
17. The Fee has been quoted by us after taking into consideration all the terms and
conditions stated in the RFP, draft Agreement.
18. We offer an EMD of Rs. 5, 00, 000/-(Rupees Five Lakhs) only to the ODOP Cell in
accordance with the RFP Document.
19. We agree and understand that the Proposal is subject to the provisions of the Bidding
Document. In no case, we shall have any claim or right of whatsoever nature if the
assignment is not awarded to us or our Proposal is not opened.
20. We agree to keep this offer valid for 180 (One hundred eighty) days from the
Proposal Due Date specified in the RFP.
21. We agree and undertake to abide by all the terms and conditions of the RFP

Form 2 - Form of bank guarantee for Performance Security

1. In consideration of the ODOP CELL (hereinafter called “the ODOP CELL”) having
agreed to exempt ____________________ (hereinafter called “the said Agency”)
from the demand, under the terms and conditions of an Agreement dated
___________________ made between ODOP CELL, Department of MSME,
Government of Uttar Pradesh, Niryat Bhawan, First Floor, 8 Cantt Road,
Kaiserbagh, Lucknow – 226001 and _________________for the Selection of
Project Management Consultant (PMC) for implementation of Uttar Pradesh One
District One Product Programme (hereinafter called “the said Agreement”), of
security deposit for the due fulfillment by the said Agency of the terms and
conditions contained in the said Agreement, on production of a bank guarantee for

Agreement or by reason of the Agency failure to perform the said Agreement. Any
such demand made on the bank shall be conclusive as regards the amount due
and payable by the Bank under this guarantee. However, our liability under this

3. We undertake to pay to the ODOP CELL any money so demanded


notwithstanding any dispute or disputes raised by the Agency in any suit or

proceeding pending before any court or Tribunal relating thereto our liability under
this present being absolute and unequivocal.

shall remain in full force and effect during the period that would be taken for the
performance of the said Agreement and that it shall continue to be enforceable till
all the dues of the ODOP CELL under or by virtue of the said Agreement have

the terms and conditions of the said Agreement have been fully and properly
carried out by the said Agency and accordingly discharges this guarantee. Unless
a demand or claim under this guarantee is made on us in writing on or before the
____________ we shall be discharged from all liability under this guarantee
thereafter.

ODOP CELL shall have the fullest liberty without our consent and without affecting
in any manner our obligations hereunder to vary any of the terms and conditions
of the said Agreement or to extend time of performance by the said Agency from
time to time or to postpone for any time or from time to time any of the powers
exercisable by the ODOP CELL against the Agency and to for bear or enforce any
of the terms and conditions relating to the said agreement and we shall not be
relieved from our liability by reason of any such variation or extension being
granted to the said Agency or for any forbearance, act or commission on the part
of the ODOP CELL or any indulgence by the ODOP CELL to the said Agency or
by any such matter or thing whatsoever which under the law relating to sureties
would, but for this provision, have effect of so relieving us.

6. This guarantee will not be discharged due to the change in the constitution of the
Bank or the Agency.
