SALE DEED

THIS DEED OF SALE is made and entered into at Navi Mumbai on


this ___ day of February 2006 BETWEEN MR. DHOTE
KHOSHALSINGH LAXMAN, s/o Mr. Laxmansingh, aged 68 years,
residing at A-17/1:2, Guru Kripa CHS Ltd., Sector-3, Sanpada, Navi
Mumbai 400 705 hereinafter referred to as SELLER (which
expression shall unless it be repugnant to the context or meaning
thereof, be deemed to include his heirs, executors and administrators)

of the ONE PART AND MR. DATTATRAY GOVIND SHINDE, s/o


Shri. Govind Shinde, aged 33 years, residing at A-33/1:2, Guru Kripa
CHS Ltd, Sector-3, Sanpada, Navi Mumbai – 400 705 hereinafter
called “THE PURCHASER” (which expression shall unless
repugnant to the context or meaning hereof shall be deemed to mean
and include his heirs, executors, administrators, and assigns) of the
SECOND PART.

AND WHEREAS THE CITY AND INDUSTRIAL


DEVELOOPMENT CORPORATION OF MAHARASHTRA LTD.,
has allotted and sold Flat No.A-17/1:2 on the first floor of building
no.A-17, Sector-3, Sanpada, Navi Mumbai-400 705 admeasuring at or
about 62.74 sq.mtrs. in built up area together with open terrace of
admeasuring 6.44 sq.mtrs in area to the Seller hereto vide Agreement
to Sell dated 18/01/1994 at and for a total price of Rs.3,28,306/- at the
terms and conditions therein mentioned.

AND WHEREAS a society has duly been formed by the various flat
purchasers including the Seller to be known as GURU KRIPA CHS
LTD., having registration no.TNA/HSG/6884/94-95 dated 01/11/1994
and its share certificate no.59 comprising of five fully paid up shares
numbering from 291 to 295 (both inclusive) was duly issued to the
seller AND WHEREAS the said SELLER is a member of the said
society.

AND WHEREAS the seller has vide an agreement for Re-sale dated
03/02/2006 entered into between the seller and the purchaser hereto
agreed to sell and transfer the said flat to the Purchaser hereto on the
terms and conditions and at the price therein mentioned.

AND WHEREAS the said Guru Kripa CHS Ltd., has granted its no
objection to the seller that it has no objection of whatsoever nature in
the seller selling and transferring the said flat to the purchaser hereto

to subject to the requisite approval and permission being obtained


from the CIDCO Ltd., and further subject to the compliance of the
necessary formalities under the bye-laws of the society.

AND WHEREAS on the application of the seller and on the


compliance of the requisite formalities and on payment of the
requisite transfer premium the City and Industrial Development
Corporation of Maharashtra Ltd., has granted its permission and
approval vide its letter number CIDCO / EMS / AEO / NERUL /
SANPADA / 2006 / 4544 dated 31/01/2006 addressed to the said
Guru Kripa CHS Ltd., that the corporation Grants permission to the
society to allow the seller member to transfer the shares and right to
occupy the flat to the purchaser hereto subject to the provisions
contained in the society bye-laws.

AND WHEREAS the said agreement for re-sale was duly registered
before the Sub-Registrar of Assurance, Thane-6, on 03/02/2006 as
document no.TNN6-00661-2006.

NOW THIS INDENTURE WITNESSETH AS UNDER :

1. The SELLER hereby sells and transfers Flat No.A-17/1:2 on


the first floor of building no. A-17, Sector-3, Sanpada, Navi
Mumbai – 400 705 admeasuring 62.74 sq.mtrs. in built up area
together with open terrace of admeasuring 6.44 sq. mtrs. in area
at and for a total consideration of Rs.10,00,000/- (Rupees Ten
Lakhs Only) to the PURCHASER hereto subject to the terms,
conditions and covenants agreed to between the parties hereto :

2. The Seller hereby admits, acknowledges and confirms that he


has received entire amount of consideration of Rs.10,00,000/-
a. Rs.1,00,000/- vide cheque no.978136 dated 09/01/2006
drawn on Abhyudaya Co-op. Bank Ltd., Vashi Branch.

b. Rs.9,00,000/- vide banker’s cheque No.__________


dated __________ drawn on Abhyudaya Co-op. Bank
Ltd., Vashi Branch, out of the housing finance obtained
by the purchaser from Vishal Junnar Sahakari Pathpedhi
Maryadit.

3. THE SELLER hereby declares that he has every right and


absolute power to dispose of the said residential flat subject to
the rules regulation of the CIDCO Ltd., applicable as also the
bye-laws of the society. THE SELLER hereby undertakes that
he will complete and comply with all the requisite legal
formalities in connection with the transfer of the shares and the
tenement and the membership on the said society and also
obtain the requisite final transfer approval from CIDCO Ltd.

4. THE SELLER do hereby covenant with THE PURCHASER


that the said flat hereby sold is free from encumbrances of any
nature whatsoever and that THE SELLER have full and
absolute power to transfer and deliver possession of the flat to
the PURCHASER subject only to the rules and regulation of
CIDCO Ltd., and the said society.

5. The Transferor do hereby declare that he has not created any


mortgage, charge, lien or encumbrances on the said flat and the
said shares. The Transferor further declare that he has full
power and absolute authority to assign and transfer the said
shares and the right to use and occupy the said flat in favour of
the Transferee free from all claims, encumbrances and
demands. The Transferor hereby declare that he is the full,
absolute, real and beneficial owner of the said flat with the
right to use and occupy the flat and that no one else has any
share, right, title or interest therein and in any manner
whatsoever. The Transferor further declares that the flat is not

subject to any charge, encumbrances or liabilities, litigation,


adverse claim or Lis Pendens and that no proceedings of any
nature whatsoever are pending nor any notice or requisitions
have been made on the Transferor.

6. The Transferor hereby declares that notwithstanding any deed,


matter or things whatsoever by the Transferor or any person or
persons lawfully or equitably claiming by, from, or through the
Transferor and notwithstanding any act, deed, matter or things
done, committed or omitted or knowingly or willfully suffered
to the contrary, the Transferor has full and absolute right and
authority to sell, convey, transfer and assign the shares and
right in respect of the said flat and the said shares to the
Transferee and to handover the vacant and peaceful possession
of the said flat to the Transferees. The Transferor further
declares that he has not or had anyone on his behalf done any
deed, act, or omission whereby the Transferor may be
prevented from assigning or transferring the said flat or the said
shares. The Transferor hereby declares that the Transferee on
being put in actual physical vacant and peaceful possession of
the said flat, the Transferee shall and will at all times thereafter
peacefully and equitably use, occupy and possess and enjoy the
said flat and every part thereof without any let, hindrance,
interruption, disturbance, claims or demands in whatsoever
forms from or by the Transferor or for any reason or account
whatsoever subject to the observance and performance of the
provisions of the MCS Act, Rule and Bye-laws of the said
society and the local laws for the time being in force in that
behalf.

7. THE SELLER hereby declare that he has or anybody claiming


through his not entered into any other Agreement with any
other person for the sale, transfer, assign, mortgage or leave &

license basis against the above flat which is hereby agreed to


sell and transfer to THE PURCHASER hereto.

8. THE SELLER doth hereby further covenant with THE


PURCHASEER that THE PURCHASER shall quietly and
peacefully possess and occupy and enjoy the said residential
flat without any let, hindrance, denial, demand interruption or
eviction by the SELLER or any other person or persons
lawfully or equitably claiming through under on in trust for the
SELLER subject to the rules, regulation and bye-laws of the
said society and subject to applicable provisions of transfer by
CIDCO Ltd.,

9. It is hereby agreed to between the parties that all outgoings,


society charges, Property Tax, Electricity Bills, water bills upto
the date of these presents are paid and discharged by the seller.

10. It is hereby confirmed by the seller that the peaceful vacant and
physical possession of flat has duly been handed over to the
purchaser.

TERRACE AREA OF 6.44 SQ.MTRS. POSSESSION HANDED
OVER ON 18TH JANURAY 1994.

RECEIPT

RECEIVED of and from the withinnamed Purchaser the sum of


Rs.10,00,000/- (Rupees Ten Lakhs Only) being the entire amount of
agreed consideration towards these presents as per details given
below.
