    BETWEEN:
    M/s LOL FOOD CHAIN (INDIA) PVT LTD , a Firm, Through its Authorised Representive Mrs
    Arpita Bafna having its Corp. Off office at 43-c Mangal Nagar ,AB Road OPP. Sarco House,Indore
    M.P.-452001. Hereinafter referred to as the FIRM (which expression shall unless repugnant to
    the context or meaning thereof, be deemed to include its successors and assigns) OF THE FIRST
    PART

    AND
    M/s ___________________________________________________ having its Propertor`s Name
    Mr _______________________________ herewith who is hereinafter referred to as

    (The Franchisee) OF THE SECOND PART;

    The expression Franchisee shall, unless it is repugnant to the context or meaning thereof, be
    deemed to mean and include:
    i. In case the Franchisee is a Company incorporated under the Companies Act,1956, its
    successors and permitted assigns;
    ii. In case the Franchisee is a partnership firm formed under the partnership Act,1932, the
    partners for the time being and form time to time and their respective legal heirs,
    executors and administrators of last such surviving partner; and
    iii. In case the Franchisee is an individual, his! Her respective heirs, administrators and
    executors;
    In case the Franchisee is an individual, his! Her respective heirs, administrators and executors
    The Firm and the Franchisee are hereinafter referred to as Party and collectively as parties

    WHEREAS:
    The Firm has developed the concept and have established a reputation and distinctive image
    with the public for the business and the Menu. The Firm is running the Business is the name
    and style of LOL FOOD CHAIN (INDIA) PVT LTD.
    a) The Firm has the experience in operating, managing and maintaining such fast food
    outlets, which operate with a uniform Menu, business formate, specially designed
    interiors, methods, procedures and systems, which is more particularly defined
    hereunder as the Model.
    b) The Firm has developed a unique method of manufacturing and providing half cooked
    food Menu from a central kitchen to its various outlets;
    c) The Model is a ce.omprehensive and standardized system.offered

    6. Outlet shall mean the premises situated at the location as more particularly hereto
    and / or such other premises from where the Franchisee performs and shall continue to
    performs the Franchisee`s Frunctions pursuant of this Agreement.

    7. personnel , with reference to the Franchisee, shall mean the Franchisee`s employees,
    staff, directors, proprietor, partners, members, officers, officials, agents and other
    persons who represent or work for the Franchisee or for whom the Franchisee is
    responsible.

    8. Products ,Shall mean the items in the Manu including without limitations half cooked
    Indian foods, maxican, Italian,etc and /or such other products as may be identified by
    the Firm from time to time and shall include all such edible products prepared !
    marketed by the Firm from time to time.

    9. Trade Name, shall mean all the trade and business names, trade and service marks,
    commercial symbols, copyright, design, service counter,platters,logos and all
    intellectual property identified by the Firm for the purpose of marketing including
    without limitation the concept, Business Model from time to time and shall include the
    name and style LOL in such styles and manners as may be used by the Firm in respect
    of the Business from time to time.
