The rights granted to KP are non-exclusive unless otherwise agreed. Any revenues generated from agreements with users of the music will be shared equally between KP and X after KP collects payments. KP will provide quarterly statements of revenues to X and make payments within 10 days. Belgian law governs the agreement and any disputes will be referred to courts in Brussels.

    Non Exclusive Sync Agreement

    By and between:

    KLUGERPARTNERS, « KP » S.A. a company organized under Belgian law and having its seat at 24 Boulevard
    Louis Schmidt 1040 Brussels, Belgium

    On one hand,

    And, X

    On the other hand,

    Parties have agreed as follows,

    Article 1 :

    X… will supply KP with music tracks – MP3 and/or WAV- to be included on its website www.klpsyncab.com
    , in view to generate synchronization rights.
    X… controls both exclusive Master and Publishing rights of such tracks.

    Article 2:

    The rights subject to this Agreement, will be non exclusive, unless a separate agreement between the
    parties make it exclusive due to such obligation in a exclusive sync License deal.

    Article 3:
    The rights of this agreement, are the ones that are not transferred to a collective management society such
    as Sacem, ASCACP, BMI, or any other entity. Those rights, called “synchronization rights”, for movies/TV,
    advertisement, video games and other digital rights consisting in the use of masters and/of the so-called ‘
    synchronization rights”.

    Article 4:

    Using the detailed information on the CSM record, including metadata tagging, KP shall use its best efforts
    to find users of music for the musical works of X…. .
    The user’s contract will be prepared and signed by KP.
    KP shall collect, all revenues generated directly or indirectly through such agreements.

    Article 5:

    All such revenues shall be shared 50/50 between KP and X…...


    KP shall be in charge of the accounting records relating to the revenues and shall forward to X…. , a
    quarterly statement , each 10 of the following month.
    The payment by KP to X…….. will take place within 10 days of the forwarding of the statement.

    Article 6:

    This Agreement will be construed under Belgian law. Any dispute concerning the interpretation or
    enforcement of this Agreement will be referred exclusively to the Courts of Brussels.
