    DEED OF ASSIGNMENT OF RIGHTS

    WITH ASSUMPTION OF LIABILITY

    KNOW ALL MEN BY THESE PRESENTS:

    EDWIN ROLLE UY married FLORIMEL O. UY, both of legal ages, both Filipino
    citizen and residence and postal address at Blk. 3 Lot 6 San Jose Townhomes,
    Pasong Camachille II, General Trias, Cavite, hereinafter referred to as the
    ASSIGNORS;
    -And –

    MA. LOURDES CLIMACO MARCELO, of legal age, single, Filipino Citizen,


    and with residence address at #34 Clemente Concepcion St., Loma de Gato,
    Marilao, Bulacan, hereinafter referred to as the ASSIGNEE;

    -WITNESSETH THAT –

    The ASSIGNORS are the holder of rights and obligations over a parcel of
    land with house erected thereon situated at Blk. 94 Lot 6 Golden Horizon Villas,
    Brgy. Hugo Perez, Trece Martires City. The right of the ASSIGNORS are evidenced
    by the Contract To Sell from HG-III Construction and Development Corporation
    thru HOME DEVELOPMENT MUTUAL FUND (HMDF/PAG-IBIG FUND);

    FOR, IN CONSDERATION OF THE SUM OF TWO HUNDRED SIXTY FIVE


    THOUSAND PESOS (PHP265,000.00) these presents the ASSIGNORS do hereby
    GIVE, TRANSFER and CONVEY unto the ASSIGNEE, all his/her RIGHTS and
    OBLIGATIONS pertaining to the above described parcel with house erected
    thereon.

    The ASSIGNEE hereby declares under oath that she fully understands the
    status of the above-described subject property and the liabilities attached to it.
    She hereby undertake to pay all liabilities and obligations attached to the
    acquisition of the subject property including but not limited to the obligations
    with the HOME DEVELOPMENT MUTUAL FUND (HMDF/PAG-IBIG FUND);

    On the other hand, the ASSIGNORS hereby warrant that they have the
    absolute right to convey all her rights over the subject property to the ASSIGNEE
    and they will answer for all liabilities that may arise if they declarations are
    proven to be false or untrue;

    The herein PARTIES hereby declare under oath that they fully understand
    the terms and conditions of this Deed and they freely executed the same.

    IN WITNESS WHEREOF, the herein parties have hereunto set their hands this
