3. SUBJECT DISCRIPTION
Law on secured transaction subject provides students basic knowledge
and specialized legal knowledge on security devices and secured
transactions. The subject consists of 5 main units: 1) Introduction to
security devices and secured transactions law; 2) Creation, perfection and
enforcement of security interest; 3) Performance, amendment and
termination of security agreements; 4) Specific charges over property; 5)
Guarantees, security deposit, and liens. Through these issues, the subject
provides not only basic theoretical knowledge on security devices and
secured transactions law but also detailed and significant legal specialized
knowledge on: how to create, perfect and enforce security interest;
process of performace, amendment and termination of security
agreements; the nature and contents of some mainstream secusity devices
such as charges over property, guarantees, security deposit, and liens…

 General requirements
- All of the assignments should be written and printed on A4-size, two
sided paper. The length depends on each type of exercise.
- Format: Top margin: 2.5cm; bottom margin: 2.5cm; left margin:
3.5cm; right margin: 2.0cm; font: Times New Roman; size: 14; line
spacing: 1,5 lines.
 Attendance and contribution
- Attandance and contribution = (attendance + contribution): 2
- Attendance: Full attendance = 10 points. 1absent time = minor
2,5 points. Late coming = minor 1 point
- Contribution: 1 outstanding contribution = 5 points (maximum
10 points)
 Group project
- Form: Written (no more than 6 A4-size pages).
- Content: choosen from the topic list provided by lecturers and based on
lecturers’ requirement.
- Criteria for written project assessment: Did the students:
+ Identify the issue obviously and properly? 2 points
+ Logically and directly analyze the issue? 6 points
+ Use a wide range of materials? 1 point
+ Have good organization and make use of terminology? 1 point
Sum: 10 points
- The final grade is the average of all group projects in this subject.
 Final paper
- Form: written essay (no more than 3 A4-size pages).
- Content: choosen from the topic list provided by lecturers or based on
student’ recommendation (with lecturers’ consent).
- Criteria for written final paper assessment:
+ Identify the issue obviously and properly? 2 points
+ Logically and directly analyze the issue? 6 points
+ Use a wide range of materials? 1 point
+ Have good organization and make use of terminology? 1 point
Sum: 10 points
 Final exam
Form: a 90-minute written exam, includes of multiple choice and
written questions and case study resolving.
