PLAYER AGREEMENT

This Agreement is effective as of the 14th day of January, 2020 (the “Effective Date”), by and between ABC
Backing LLC, an Ohio limited liability company with a mailing address of 5247 Wilson Mills Road, #126,
Cleveland, Ohio 44143 (“ABC”), and Kristaps Zuševics of Ķekavas novads, Ķekavas pagasts, Rāmava,
“Mazkadiķi”, Latvia LV-2111 (the “Player”).

RECITALS

A. ABC provides cash to poker players for use for entry or buy-in fees into poker tournaments in
exchange for fifty percent (50%) of the players’ winnings.

B. The Player represents that he or she is an experienced poker player.

C. ABC and the Player wish to enter into a staking relationship on the terms and conditions set forth
in this Agreement.

NOW, THEREFORE, the parties agree as follows.

1. The Player shall enter and compete in poker tournaments for which he has been advanced funds by
Company for the purpose of paying that tournament’s entry, buy-in, re-buy or add-on fees (“Advance”).

2. If the Player uses the amount Advanced for any other tournament or purpose, the Player shall reimburse
ABC in an amount equal to twice the amount Advanced, upon demand by ABC.

3. The Player shall enter and compete in any and all such poker tournaments for which he was Advanced the
necessary entry, buy-in, re-buy or add-on fees.

4. Within twenty-four (24) hours of the completion of any such tournament the Player shall notify ABC in
writing of the results of that tournament, including but not limited to his winnings.

5. As compensation for the Advance described in section 1, Player shall pay ABC, within twenty-four (24)
hours of the conclusion of any tournament for which the Player has been provided an Advance, or at such other time
that Player and ABC shall agree, a sum equal to fifty percent (50%) of the Profit. Payment is to be made in
accordance with the policies of ABC in effect at the time, which ABC may change from time to time.

For the purposes of this Agreement, the Profit is defined as the amount by which the Player’s winnings, plus the
value of any bonuses, endorsement compensation, prizes, rakebacks, discounts and/or free rolls (whether cash,
merchandise or otherwise) received by the Player, exceeds the amount Advanced.

6. If at any time the Player’s winnings do not exceed the amount Advanced, the Player shall, at the Player’s
option, either

a. Pay ABC “Makeup” (i.e., the Profit received by the Player in future poker tournament play up to
an amount equal to the difference between the amount Advanced from previous tournaments and the Player’s
winnings) within twenty-four (24) hours after receipt of any winnings plus an amount equal to any expenses of the
Player that have been paid or reimbursed by ABC in ABC’s sole discretion pursuant to this Agreement, such as but
not limited to, coaching, training, travel, lodgings or meals, if applicable; or,

b. Terminate the Agreement and repay the Advance outstanding plus an amount equal to any
expenses of the Player that have been paid or reimbursed by ABC in ABC’s sole discretion pursuant to this
Agreement, such as but not limited to, coaching, training, travel, lodging or meals, if applicable.

7. The Player shall be responsible for all of his expenses in connection with this Agreement, including but not
limited to travel, lodging and meals, unless ABC offers in its sole discretion to pay or reimburse the Player for any
or all of such expenses.
8. The term of this Agreement shall begin on the Effective Date and be for a period of one (1) year and shall
renew thereafter for additional one (1) year periods, unless the Player notifies ABC of his intent to terminate this
Agreement at least thirty (30) days prior to the expiration of the original term or any renewal term, and the Player
has complied in full with the remaining terms of this Agreement.

8.1 Company may terminate this Agreement at any time with or without cause.

a. Upon termination without cause, Player shall have seven (7) days to repay to Company all
advances, pre-paid expenses and other funds due Company.

b. Upon termination with cause, including but not limited to Player’s breach of this Agreement
resulting in damages no less than three hundred dollars ($300), all Advances, makeup and other funds
owed to ABC, including the penalty pursuant to Section 2 shall be paid to ABC within seven (7) days. If
such repayment, including damages, are not returned to ABC within seven (7) days, Player agrees that
ABC can publicly share Players information in a manner ABC sees fit.

9. The Player agrees to create and maintain records of all entry or buy-in fees, “rakes,” “rakebacks,” hand
history databases, discounts and winnings and any other related transactions from any tournaments for a period of
twenty-four (24) months in a form or media requested by ABC in its sole discretion, and to make such records
available to ABC immediately upon request.

10. The Player shall not enter into any poker games using their own resources or any other staking or other
similar agreements with third parties during the term of this Agreement, without the prior written approval of ABC.

11. The Player acknowledges that he or she is not an employee of ABC. The parties intend that an
independent-contractor relationship, and not an employer-employee relationship, will be created by this Agreement.
The Player will not be considered an agent or employee of ABC for any purpose. The Player acknowledges that he
or she shall be responsible for any and all self-employment-related taxes, including but not limited to estimated
income taxes, social security taxes and self-employment provisions.

12. ABC has not provided and will not provide any coaching or training to the Player, unless ABC in its sole
discretion offers coaching or training to the Player.

13. Player is responsible for maintaining the confidentiality of any accounts in which you are holding funds
which were advanced by ABC, which ABC has an interest in and/or which may be due ABC. This includes, but is
not limited to, passwords and any other security measures. Player is fully responsible for all activities that occur
under your accounts. Your account is meant to be private and you shall not share accounts for any reason. You agree
to immediately notify us of any unauthorized use of your password or account or any other breach of security. You
agree to be responsible for all charges resulting from the use of your account including charges resulting from
unauthorized use of your account.

14. The provisions of this Agreement are severable. If any one or more provisions are determined to be illegal
or otherwise unenforceable, in whole or in part, the remaining provisions and any partially unenforceable provisions
to the extent enforceable in any jurisdiction shall, nevertheless, be binding and enforceable.

15. Any notice required or permitted to be given under this Agreement shall be in writing and shall be
personally delivered or sent by e-mail to the address set forth below:

if to ABC, to [email protected]; and

if to the Player, to [email protected]

or at such other e-mail address as either party may designate in a written notice to the other given as set forth above.

16. The failure of either party to enforce any provision or provisions of this Agreement shall not in any way be
construed as a waiver of any such provision or provisions as to any future violations thereof or prevent that party
thereafter from enforcing each other provision of this Agreement. The rights granted the parties herein are
cumulative and the waiver of any single remedy shall not constitute a waiver of such party’s right to assert all other
legal remedies available to it under the circumstances.

17. The Player may not assign or transfer his or her obligations hereunder without the written approval of
ABC. This Agreement may be assigned by ABC upon notice to the Player.

18. Wherever the context so requires herein, the masculine gender includes the feminine or neuter, and the
singular number includes the plural and conversely

19. Mandatory Arbitration: In the event of any dispute under this Agreement, the Parties agree to binding
arbitration before the American Arbitration Association in Cuyahoga County, Ohio, or at such other location as may
be chosen by ABC and that any such award may be filed in the courts of Cuyahoga County, State of Ohio.

20. This Agreement contains the entire agreement, and supersedes all prior agreements and understandings,
between the parties with respect to the subject matter hereof and may not be modified or terminated orally. No
modifications or attempted waiver of this Agreement shall be valid unless in writing and signed by the party against
whom the same is sought to be enforced. This Agreement shall be governed by and construed according to the laws
of the State of Ohio.

IN WITNESS WHEREOF, the parties have executed this Agreement in up to two counterparts which
together shall be considered a single instrument, as of the date shown on page one.
