Dear Ms. Jimenez
It is our honor to propose this agreement for the engagement of our Firm as legal as legal
counsel of MARICAR G. JIMENEZ (“Client”) on a general retainer.
RETAINER FEE. We shall charge a retainer fee of SIX THOUSAND PESOS (P6,
000.00) per month payable in advance on or before the fifth (5 th) day of each month. This
fee shall be subject to adjustment upon our agreement following a semi-annual review to
determine whether the fee is equitable, taking into account the volume of work, nature of
services rendered, and the relative complexity of your referrals.
SCOPE OF RETAINER SERVICE. The retainer fee shall be applicable to all services
in the nature of consultation advice, and review and preparation of simple contracts and
other documents required in the ordinary course of business to the Client. Routine
notarial work shall be covered by the retainer arrangement, without prejudice to further
discussion on additional fees as the volume and complexity of the notarial work require.
Our total legal services shall also be available to the Client, subject to the provisions of
the following paragraphs on other services and conflict of interest.
It is our hope that our availability to provide the Client with regular advice under this
retainer will preclude your involvement in serious legal problems.

OTHER SERVICES. We are also available to provide the Client with all services
requiring judicial, quasi-judicial, legislative or administrative bodies or agencies such as
the Department of Justice, National Bureau of Investigation and many more.
The above services, as well as those involving extraordinary time, effort and
responsibility, shall be subject to a separate agreement.
APPERANCE AND CONFERENCE FEES. We shall bull you THREE THOUSAND

PESOS (P 3,000.00) per actual appearance of any lawyers in any courts or quasi-judicial
bodies within Metro Manila. This fee shall also apply to any conference or follow-up
work which will require any of our lawyers to leave our office. Accordingly, conferences
held in our office will not be billed.
PLEADING FEES. Considering that the client is on a monthly retainer,

ACCEPTANCE FEES SHALL BE WAIVED, but major pleadings like Complaint,
Comment, Appellant’s/Appellee’s Brief, Memorandum, Petitions, Petition for Certiorari,
Petition for Review, etc. shall be billed at TWENTY THOUSAND PESOS (P
20,000.00) per pleading, while minor pleadings like Motions, Reply, etc. shall not be
charged.
DEPOSIT FOR OUT-OF-POCKET EXPENSES. All out-of-pocket expenses, such as

representation, cost of photocopying, postage, transportation, and other similar expenses,
shall be for your exclusive account. For this purpose, we will request that you deposit
with us the amount FIVE THOUSAND PESOS (P 5,000.00), subject to periodic
liquidation reports by our Accounting Department.
CONFLICT OF INTEREST. In case any matter or problem should arise between the
Client and another client of our Firm which presents for us a conflict of interest under the
CODE OF PROFESSIONAL RESPONSIBILITY, we reserve the right to inhibit
ourselves from representing the Client and/or the other client in so far as the particular
matter or problem is concerned. This right to inhibit shall also apply to your referrals
concerning matters which we handled for our former retainer clients.

TERMINATION. The retainer agreement may be terminated by either party upon

SIXTY (60) DAYS prior written notice.
EFFECTIVITY. Our Firm recommends that the retainer agreement shall take effect
upon the abovementioned retainer fee. It shall be subject to termination base upon the
preceding statement with notice given by either party to other.
Should you find the above terms acceptable, kindly sign on the space provided below and
return a duly signed copy to us for our files.
