Terms & Conditions
Except and save for amendments in writing; signed by the duly authorized representatives of each party, and notwithstanding any terms which may be introduced in any documentation subsequent to
this quotation/proposal/ submission to you (“you”), the pricing herein by Logicalis Malaysia Sdn Bhd (“LMY”, “we”, “us” or “our”), is valid subject always to our Standard Terms and Conditions of Sale; a
copy of which is available on request, including but not limited to the following :
1. Price. The pricing quoted herein unless otherwise stated is in US dollars; only valid for 15 days; and on condition of the full (and not partial) award of the entire scope as set out herein, including
the maintenance plan proposed (if any). All optional scope (if any) must be exercised before the pricing validity expires.
2. Payment. All charges shall be paid within 30 days of the date of the relevant invoice and applicable and then current taxes (including but not limited to sales, import and/or withholding tax etc.)
shall be borne by you. Unpaid sums shall accrue at a rate of 2% per month from the time such sum(s) is due and owing. Total sum due on goods becomes immediately payable upon issuing of a
purchase order by you. Maintenance charges shall be payable annually in advance. For avoidance of doubt, any and all payments shall be made net of any sums withheld and/or deductions.

Payment instructions with respect to the bank account are irrevocable and cannot be changed without the prior written consent of HSBC Bank Malaysia Berhad.
In the event you make payment in any currency other than US dollars, and at time of making payment, the exchange rate for the US dollar against the relevant currency (used for payment), exceeds
the corresponding exchange rate of the same currencies as at the date of the relevant quotation by 2%, We reserve the right but not the obligation to charge you for the difference in exchange rates.
The reference exchange rates, for these purposes shall be the currency exchange rate data provided by www.oanda.com.
3. Cancellation. Should you decide to cancel any part of this order; or cancellation arises out of termination of the relevant contract, the then relevant cancellation fees shall become immediately
payable upon receipt of such written instructions from you.
4. Goods. Goods supplied shall remain vested in us and shall be returned to us in good condition; even if possession passes to you, until such time that we have received full payment for the
respective good(s) from you.
5. Delivery. In the event of any unsuccessful delivery attempt of any goods hereunder or delivery of such goods cannot be completed at the agreed point of delivery on the agreed date delivery (or
redelivery), due to your refusal or inability to receive such delivery, you agree to bear all storage and/or redelivery charges that may be incurred on such undelivered goods commencing from the initial
date of delivery of such goods until such time that such delivery is completed.
6. Warranty and Limitations – No warranty is given hereunder (express nor implied) unless expressly stated herein, nor is any warranty of any kind given for goods and/or services which LMY
provides free of charge. Where maintenance services are provided hereunder, any modifications made by any third party vendor(s), shall immediately void the warranty on services hereunder. To the
maximum extent permissible by applicable law, LMY’s aggregate liability shall not include any indirect, special and/or consequential liability (including but not limited to loss of use, profit, data,
opportunity etc.); arising out of or in connection with the goods and/or services provided herein (even if we have been informed of such possibility), nor shall it exceed the total sums (excluding taxes)
received by LMY from you (or your assigned payer) for the goods and/or services to which this proposal/quotation pertains in the most recent six (6) months prior to the original claim arising.

7. Acceptance. A legally binding agreement and acceptance of these terms between you and us shall be concluded upon our receipt of a purchase order from you for the full award as anticipated in
the 1st paragraph above; or receipt of payment for any goods and/or services covered hereby; whichever shall occur first. In the event of inconsistency(ies) between the terms herein and any other
applicable and relevant terms, these shall take precedence.
