We refer to your enquiry to us and subsequent discussion for our roofing system and thank you for the same.
Based on the inputs provided by you, we are pleased to submit herewith our proposal to you, for the subject
work.

Taxes:
GST @ 18% Inclusive on above rate as mentioned in above table.
However, any change in above tax structure will be paid extra to us, and vice-versa, during the time of actual
invoicing.
NOTES:
1. The above area mentioned is approx. only; however, the final invoice will be made as per actual dimensions of
the laid roof, i.e., curved roof with measurements jointly taken from the hem-top end of the panels.

2. Above rates are inclusive of Required Quantity of Material and Consumables for the project. Any excess
quantity of material & consumables/wastage at site is property of the Proflex Systems, and will be taken back by
Proflex on completion of the project.

3. Any Octroi/Entry tax/Road-permit/Waybills (wherever applicable) shall be arranged and payable extra at
actual, by client. The client will co-ordinate and arrange for all formalities and procedures for
clearing/movement of our material and machines at check-points and up to your project site.

4. Material transportation charges are Extra on above rate. Transit insurance for material, from Ahmedabad to
your site is inclusive in the price.

5. Unloading of the material at your site is Extra on above rate.

6. If gutter is not available then required scaffolding for Roof installation and it will be in client scope.

7. If higher capacity crane required then it will be scope client.

PAYMENT SCHEDULE:
25% advance along with your confirmed order in favor of M & B Engineering Ltd.
75% against PI prior to material dispatch and machine planning.

Payments to be issued to us by way of Pay-order/DD/at par Cheque favoring ‘M& B Engineering Ltd.
All payments received by us will be forfeited in case of cancellation of order.

General and technical terms and conditions of the contract

TECHNICAL

1. DELIVERABLES BY PROFLEX
1.1 Supply & Installation of the roofing system, further from the eaves level/ gutter beam.
1.2 Providing the end reactions data (due to the roofing), for design of the structure.

2. SPECIFIC SCOPE OF WORK BY CLIENT


2.1 Required R.C.C/ steel columns/ structure, R.C.C / steel peripheral beams, as per our interface
requirements.
2.2 Any gable-end finishing/flashing, side-wall cladding.
2.3 R.C.C / steel rain-water gutter with water-proofing and down-take pipe work.

3. RECEIVABLES (FREE OF COST) BY PROFLEX


3.1 Plan, elevation and site layout drawings.
3.2 Any approval from any local/concerned authority to execute the work.
3.3 Required power at working level of site and water supply.
3.4 Required scaffolding (in case there is no gutter).
3.5 Space for labour accommodation.
3.6 Free access to site as per Proflex’s requirements.
3.7 Sufficient space to store material and equipment before and during installation.

4. SITE CONDITIONS

4.1 The site shall be accessible with trucks, mobile cranes etc. Proflex will require a clear space (in case of
outside operations) of tentatively around 40 – 50 feet on atleast two sides of the building/ or as
specifically mentioned, with a levelled and compacted ground and flooring for the operations. The
inside bays shall also be clear for operations. Final plan for the erection shall be based on site
conditions and decided and followed thereafter.

4.2 Tie beam at one gable end to be closed by client (preferably on the front elevation side) and one side
should be kept open for machine/crane movement and installation process.

4.3 Proflex Systems may interrupt the installation at its own discretion, if weather conditions are
considered as unfavourable for operation. Such cases of adverse site conditions extend the completion
period. Proflex reserves the right to stop or postpone installation in such cases, de-mobilise from site
and return again to complete the work. Client has to allow this and give us consent for the same.

4.4 The scope of Proflex Systems is only to provide the indicative values of end reactions exerted by the
roof, as this forms a part of structural design. The data supplied by Proflex is only for roofing system,
and any other factors which can cause additional load / loads are not taken into consideration for load
evaluation and data generation. The end reactions data provided by Proflex should be followed strictly
by the clients in the structural design to ensure that the roofing system and structure are stable during
and after roof installation. It is implied that client has to ensure, that the structure is designed,
fabricated, executed and installed so that it can take load of the roofing.

4.5 Gable ends / tie beams to be closed / incorporated by client as soon as the roofing is installed as the
roof has been designed for a closed structure.
4.6 Panel fabrication being a mechanical process, minor colour chipping due to the profiling process and
scratches due to handling of panels may take place and the same shall be accepted and allowed by the
client. Epoxy lacquer shall be applied where deemed necessary by us in such occurrences.

4.7 Hangers provided are only for hanging the lighting fixtures, and are designed to take maximum point
load of 20 kg and the same shall be considered while finalizing hanging requirements.

4.8 The colour and the colour pattern is decided based on certain conditions as on the date of signing of
the contract. This may vary depending on the availability, supply tolerances, actual as-built site
dimensions, wastage, etc,. This will be communicated to the client prior to dispatch of material.

4.9 The material once delivered to site, has to be stored in secure and proper condition by the client, and
handed over to Proflex representative when they arrive for installation.

4.10 The client should provide a completion certificate narrating the total coverage area/ work done
by Proflex Systems, after completion of job.

GENERAL

1) INDEMNITY
The Client shall indemnify and keep Proflex Systems indemnified against all losses, expenses or damages that
may be suffered by Proflex Systems due to any default or breach of terms by the client under this proposal.

2) EVALUATION
The Client and Proflex Systems shall evaluate progress under this contract at the beginning of every phase
and take corrective action as may be required (provided it is feasible and mutually acceptable). Any changes
after the signing of the contract would automatically result in an extension of the project time duration and
budget which would be proposed by Proflex Systems, and client will issue order amendments for the same.

3) MODIFICATION IN TERMS
Any changes in the terms and conditions contained herein shall have effect only prospectively, and shall be
valid only if recorded in writing and signed by the authorized officials of the Client and Proflex Systems.

4) TERMINATION
In case the project is at any moment terminated by the client, there would be no return of payments by
Proflex Systems.

5) FORCE MAJEURE
If the performance/delivery of the work under the Purchase Order becomes impossible or delayed because of a
force majeure occurrence (by Acts of God, riots, civil commotion, insurrections, wars, strikes, lockout or any
other causes beyond the control of the Proflex Systems), Proflex Systems shall give a notice in writing as soon
as possible to the client with any evidence which can be reasonably given. Proflex Systems shall exert all
reasonable efforts to mitigate the effects or potential effects of a force majeure occurrence.

6) ARBITRATION & GOVERNING LAW


Any dispute, difference or question arising out of this proposal shall be settled amicably between the parties,
failing which the same shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, and the
place of arbitration shall be Ahmedabad. The terms of this Proposal shall be governed and construed in
accordance with the laws of India. The award of such arbitration shall be final and binding upon the Parties
hereto.
