LEAVE AND LICENSE AGREEMENT

THIS LEAVE AND LICENSE AGREEMENT made and executed at Pune on this
____ day of August 2022
BETWEEN
1. MRS. SEEMA GAURAV BHANSALI, Age: 39 years, Occ: _______, PAN no
ACDPH0521J; Residing at: Flat No. B-704, Relicon felicia, Pashan Link Road,
Pashan, Pune 411021.
2. MRS. NEHA PRAVEEN RATHOD, Age: 36 years, Occ: _______, PAN no
AQEPR6558G; Residing at: Flat No. 301, Baner Pashan Link Road, Pashan,
Pune 411021.
Hereinafter for the sake of convenience and brevity referred to as “Licensor”
(which expression shall, unless it be repugnant to the context or meaning
thereof, mean and include his/her heirs, executors representatives,
administrators and assigns ) of the ONE PART;

AND
M/S. CUBYTS TECHNOLOGIES PRIVATE LIMITED ( PAN AAJCC2013R) a

company incorporated under the Companies Act, 1956 and having its registered office
at ______, Pune 411003, through its director Mr. Shashank Deshpande Age 55
years, hereinafter for the sake of convenience and brevity referred to as
“Licensee” of the OTHER PART.

W H E R E A S:
a) The Licensor is the lawful owner and is absolutely seized, possessed and
otherwise well and sufficiently entitled to the office no 305, Admeasuring
about 82.86 Sq Mtrs. situate at 58, Line Bazar, East Khadki, Pune
411003 within the Registration Sub-District of Taluka Haveli, District
Pune more particularly described in the Schedule hereunder written and
hereinafter referred to as the “Licensed Premises”.

b) The LICENSEE has approached the LICENSORS with a request to allow it


to make use of the said premises by way of pure and simple Licence and
without claiming any other rights therein for office and business purpose.

c) And accordingly negotiation took place between Licensee and


LICENSORS. The LICENSORS herby agreed to grant Licence to the

Licensee and the Licensee agreed to take the said premises on Licence
basis upon the terms and conditions appearing hereinafter for the
purpose of its business.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:


1) GRANT:
The Licensor hereby grants to the Licensee, the license and permission to
occupy and use the Licensed Premises for its office and business only.

2)   TENURE:
The Licensor has agreed to grant License to the Licensee for the use and
occupation of the Licensed Premises on a Leave and License basis, for a
period of 60 (sixty) months commencing from 20 th January 2018 (herein
referred to as “Commencement Date”) and ending on 19th January 2023
(both days inclusive) which the Licensee and Licensor have agreed to do
upon the terms and conditions herein mentioned.

3)  LICENSE FEE:
3.1 the Licensee shall pay to the Licensor a License Fee of Rs. 18,000/-
(Rupees Eighteen Thousand Only) per month for the period of first 24
months commencing from 20.01.2018 upto 19.01.2020 thereafter from
third license year i.e. from 20.01.2020 to 19.01.2023 the License fee shall
be Rs. 20,000/- per month.

4) INTEREST FREE REFUNDABLE SECURITY DEPOSIT :


a) The Licensee has deposited with the Licensor a sum of Rs. 1,00,000/-
(Rupees One Lakh Only) as an interest free refundable Security Deposit
(hereinafter referred to as “Security Deposit”) the receipt whereof the
Licensor hereby acknowledges.

b) The said Security Deposit shall be refunded by the Licensor to Licensee,


after deducting therefrom any arrears of licence fee, and electricity
charges, on the expiry or termination of this agreement and
simultaneous at the time of handing over of the vacant and peaceful
physical possession of the Licensed Premises by Licensee to Licensor.

5) OUTGOINGS:
a. The licensee shall bear the charges of electricity consumed by him and
shall pay the electricity charges directly to the M.S.E.B.

b. The Licensor shall bear society maintenance charges, Property and


municipal taxes, levies, cess in respect of the Licensed Premises;

6) RIGHT TO INSPECT AND REPAIR:


The Licensor, his architects, contractors, agents and officers responsible for
supervising and maintaining the Licensed Premises shall be entitled to enter
upon the Licensed Premises for inspecting the same during working hours
on any days except weekly offs and public holidays by giving 48 hours notice
to the Licensee.

7) THE LICENSEE HEREBY COVENANTS WITH THE LICENSOR AS


FOLLOWS:-
a. To pay the License Fees and other amounts payable by it
hereunder, regularly.
b. To obtain its own connection for its telecommunication,
telephones and other utility costs and to punctually pay the
necessary charges/ costs during the tenure of this agreement. The
Licensee shall be liable to pay any fine, damages, or compensation
that may be required to be paid for any violation of any law, rules
or regulations.
c. To use the Licensed Premises for the purpose of carrying on its
business as enumerated herein above.
d. It shall be the Licensee’s responsibility to obtain all licences and
permissions required from various authorities, government/
municipal bodies for its business and to comply with all applicable
laws and regulations.
e. To perform and observe strictly the provisions hereof and also the
laws for the time being in force and also the rules and regulations
and bye-laws of the Society and applicable to the said property in
which the said premises are situated for the time being and from
time to time in force

f. The LICENSEE shall not carry out any work of permanent
alteration whether structural or not in or about the said premises
or any portion thereof.
g. Not to claim exclusive possession of the licensed premises, such
exclusive possession of the said premises being with the
LICENSORS and not to claim tenancy rights or any other right,
higher than the limited right to use the licensed premises during
the licensed period and not to claim any protection as tenant or
protected LICENSEE under the Rent Act.
h. To indemnify the LICENSORS against any loss or damage that
may be suffered as a result of breach of any of the provisions
herein contained or otherwise due to any act or conduct of the
LICENSEE, its employees and servants leading to breach of the
provisions hereof or of law or of the rules and regulations and bye-
laws of the Society or body owning the said building, as may be in
force for the time being and from time to time.
i. To vacate and handover vacant and peaceful possession of the
Licensed Premises to the Licensor by removing themselves, their
employees and their belongings from the Licensed Premises, on
the expiry of this Agreement or early determination hereof, subject
to the terms and conditions mentioned herein.
j. Not to hold the LICENSORS responsible or liable for any loss or
damage suffered by the LICENSEE on account of destruction
caused to or in the said premises or to any property brought by
the LICENSEE in the said premises either by fire, accident, theft,
or natural calamities i.e. earthquake, flood or act of God etc or
otherwise or by any act of omission on the part of the occupants of
the other premises in the said property.
k. Not to sub-let or mortgage the said License premises or part with
the possession the said premises.

8) FORCE MAJEURE:
The Licensor shall not be liable for any damage caused to the articles,
equipment’s and material of the Licensee due to any force majeure such
as earthquakes, tidal waves, floods and/ or fire, storm, tempest, war,
riot, civil commotion, strike, public outcry, lockout, labor unrest, political
unrest, acts of terrorism, and/ or any other act of God.

9) AMENDMENT & MODIFICATION:
The PARTIES hereto agree that, any variation, revision or amendment of
any of the terms or provisions hereof shall not be valid or binding upon
the PARTIES, unless the same is recorded by the PARTIES hereto in
writing.

10) NOTICES:
All notices, requests, consents, or other communications required or
permitted to be given under this Agreement shall be in writing and may
be sent by registered post A.D or speed post with acknowledgement at
the addresses mentioned herein.
If to Licensor:
MR. SANAD SAHADEV PATTI

Flat No. C1, 903, Building No. 2, Uttam Townscapes, S. No. 154,
Visrantwadi, Pune 411006

In case of the Licensee, the same shall be served to the Licensee either at
its address mentioned herein above or at the Licensed Premises

In case of any change in address, Licensee shall ensure that the same is
communicated in writing to Licensor forthwith, failing which
communication sent at the last known address shall be deemed to be a
valid service.

11) STAMP DUTY AND REGISTRATION CHARGES:


The stamp duty and registration charges on this Agreement shall be
borne and paid equally by both the Parties.

12) The PARTIES hereto agree that if at any time, any of the terms,
conditions and/ or provisions of this Agreement are declared to be
invalid or unenforceable to any extent under the applicable laws or under
directions or orders of any judicial or other competent authority, this
Agreement shall continue to be in force, as if such clause was never in
existence.

13) CLERICAL ERROR

Neither party shall take any advantage of any clerical error or mistake
which may occur not limiting to the description of the Licensed Premises
or clause number in respect of cross references in connection with this
Agreement, and such clerical error or mistake shall be brought to the
notice by the one to the other immediately and same shall be rectified
without any demur.

14) MISCELLANEOUS
a. The PARTIES hereto agree that this Agreement supersedes all other
agreements, deeds, documents or oral agreements, previous
agreements that may be entered into or exchanged between the
PARTIES hereto.
b. The PARTIES hereto admit and agree that the contents of this
Agreement have been explained to them, in their vernacular language
and both the PARTIES have understood the same and signed this
Agreement in the presence of the witnesses mentioned herein below.

15) JURISDICTION:
The Courts in Pune alone shall have exclusive jurisdiction in case any
dispute arises between the Licensor and the Licensee in respect of the
Licensed Premises.

16) The original copy of these presents shall remain with the Licensor and
the Xerox copy of the same shall be provided to the Licensee.

THE SCHEDULE

The Office Premises situate at 58, Line Bazar, East Khadki, Pune 411003,
within the Registration Sub-District of Taluka Haveli, District Pune

IN WITNESS WHEREOF the PARTIES hereto have set and subscribed their
respective hands to these presents the day and year first hereinabove written.
