    SERVICE AGREEMENT
    Specimen Agreement of Employment of Manager of a Business Concern

    This Service Agreement ("Agreement") is made on this [Date] between AB, etc. (hereinafter referred to as
    the "Employer") of the one part and CD, etc. (hereinafter referred to as the "Manager") of the other part.

    WHEREAS:

    1. The Employer intends to appoint a qualified individual to work as the Manager for their business
    concern; and

    2. CD, the Manager, has agreed to serve in the capacity of Manager for the Employer's business
    concern.

    NOW, THEREFORE, THIS AGREEMENT WITNESSES as follows:

    1. Term of Engagement:
    The Manager shall work as such for a term of [Duration] years from [Start Date] at [Location], or any other
    place as desired by the Employer.

    2. Duties and Obligations:


    The Manager shall dedicate their whole time and attention to the business and make best efforts to
    improve and expand it. The Manager shall diligently and faithfully obey and observe all lawful orders and
    instructions of the Employer related to the conduct of the business and shall maintain confidentiality
    regarding any business secrets or dealings.

    3. Record Keeping:
    The Manager shall maintain proper books of accounts at the place of business, recording all goods,
    money received, delivered, and disbursed. The Manager shall duly account for all moneys belonging to
    the Employer and ensure prompt payment to the Employer or designated bankers, except for amounts
    authorized by the Employer for immediate business needs.

    4. Remuneration:
    During the term of engagement, the Employer shall pay the Manager a monthly salary of Rs. [Amount],
    on the first day of every calendar month, subject to deductions as required by the Income-tax laws in
    force. Additionally, the Manager shall receive a further sum equal to 5% of the gross sale returns for
    the year or net profits of the business (if any) after customary deductions, payable at the end of each
    year during the agreed period. In the event of the Manager's death or early termination, a
    proportionate salary and percentage amount will be due.

    5. Accommodation:
    The Employer shall provide the Manager with a suitable furnished residence, free of rent, rates, and taxes
    (excluding charges for electricity and extra water usage), and the Manager shall reside in the provided
    house.

    Dispute Resolution and Jurisdiction

    1. Any dispute, controversy or claims arising out of or relating to this Agreement or the breach,
    termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions
    of the [Indian] Arbitration and Conciliation Act, 1996.

    2. The arbitral tribunal shall be composed of Sole Arbitrator or by the Arbitrator appointed by
    mutual consent.

    2. The place of arbitration shall be at ……………… and any award whether interim or final, shall
    be made, and shall be deemed for all purposes between the Parties to be made in

    3. The arbitral procedure shall be conducted in the English/Kannada language and any award or
    awards shall be rendered in English/Kannada. The procedural law of the arbitration shall be
    Indian law.

    4. The award of the arbitral tribunal shall be final, conclusive and binding upon the Parties, and the
    provisions of the [Indian] Arbitration and Conciliation Act, 1996 shall apply.

    5. The rights and obligations of the Parties under, or pursuant to, this Clause, including the
    arbitration agreement in this Clause, shall be governed by and be subject to Indian law, and the
    agreement shall be subject to the exclusive jurisdiction of the courts at _____________. (place to
