LEASE CONTRACT OF LAND

KNOW ALL MEN BY THESE PRESENTS:

This Contract is entered into by and between:

ANGELA H. DAEL, of legal age, Filipino, widowed and a resident of Boyco, Bayawan City, Negros Orinetal,
Philippines, hereinafter known as the LESSOR;

-and-

DIOMAR T. LIZADA, of legal age, Filipino, married and a resident of Tabuan, Bayawan City, Negros
Oriental, Philippines, hereinafter known as the LESSEE.

WITNESSETH: That-

WHEREAS, the LESSOR is the lawful owner of the Lot No. 64-A containing an area of FIVE THOUSAND
SIX HUNDRED EIGHTY (5,680) SQUARE METERS, more or less portion of Lot No. 64, Pls-1032 Case 1
containing an area of SIXTEEN THOUSAND ONE HUNDRED THIRTY-THREE (16,133) SQUARE METERS, more
or less, Lot No. 65, Pls-1032 Case 1 containing an area of EIGHT THOUSAND FOUR HUNDRED TWENTY-NINE
(8,429) SQUARE METERS, more or less and Lot No. 67, Pls-1032 covered by Original Certificate of Title No. HV-
3965 of the Registry of Deeds of Negros Oriental containing an area of TEN THOUSAND EIGHT HUNDRED
NINETY-ONE (10,891) SQUARE METERS, more or less all located at Tabuan, Bayawan City, Negros Oriental,
Philippines by virtue of a document known as Extra-Judicial Settlement of Estate Among Heirs with Deed of
Absolute Sale dated August 9, 2016 in the Notarial Register of a Notary Public for and in Bayawan City, Atty. Cyrus
James G. Laure herein attached as Annex A (LEASED PREMISES) and which are more particularly described as
follows:

LOT NO. 64-A

NE : Lot No. 54 SE : Lot No. 66 and Tabuan-Banaba Road


NW : Lot No. 44 SW : Lot No. 46 and Lot No. 45
Area : FIVE THOUSAND SIX HUNDRED EIGHTY (5,680) SQUARE
METERS, more or less.

LOT NO. 65, PLS-1032 CASE 1

Boundaries:

NE : Lot No. 61 and Lot No. 62 SE : Lot No. 67


NW : Tabuan-Banaba Road SW :
Area : EIGHT THOUSAND FOUR HUNDRED TWENTY-NINE (8,429)
SQUARE METERS, more or less.

LOT NO. 67, PLS-1032

Boundaries:

North : NW-Barangay Road & Lot No. 65 South : SW-Lot No. 69


East : SE-Lot No. 77 West : Road
Area : TEN THOUSAND EIGHT HUNDRED NINETY-ONE (10,891) SQUARE
METERS, more or less.

WHEREAS, the LESSOR is willing to lease the LEASED PREMISES and the LESSEE desires to lease the
same under certain terms and conditions.

NOW THEREFORE and in consideration of the foregoing premises, the Parties mutually agree as follows:

1. TERM OF LEASE. The period shall be five (5) years commencing from January 10, 2024 to January 9,
2029 and shall be renewable at the option of the LESSOR under such terms and conditions as may be
mutually agreed by the Parties. It shall be deemed that the lease is renewed annually and the LESSEE is
authorized to occupy the LEASED PREMISES as long as the LESSEE pays the annual rent.

2. RENTAL RATE. In consideration of the faithful performance of all the stipulations of this Contract, the
LESSEE shall pay to LESSOR or its duly authorized representative an annual rental of TWO THOUSAND
(₱2,000.00) PESOS, Philippine Currency payable every first week of January of the current year. Upon
signing this contract, the LESSEE shall pay a rental equivalent to One Year (2024). .

3. PURPOSE. It is agreed and understood that the LEASED PREMISES will be used by the LESSEE for
agricultural purposes only.

4. COMPLIANCE TO LAWS.

4.1 The Parties agree and understand that each shall be liable for their corresponding taxes.

4.2 Real estate taxes over the LEASED PREMISES shall be for sole and exclusive account of the
LESSOR;

4.3 The LESSEE shall be responsible for the cleanliness and sanitation of the LEASED PREMISES but the
LESSOR shall be responsible for the cleanliness and sanitation of the remaining portions of the Subject
Property not being used by the LESSEE; and

4.4 Permits and clearances required for the lease of the LEASED PREMISES shall be under the
responsibility of the LESSOR.

5. RIGHT OF FIRST REFUSAL. The LESSEE shall have the right of the first refusal should the LESSOR sell,
mortgage, convey or otherwise alienate or encumber its rights over the Subject Property, and the LESSEE
shall be entitled to be offered with the same terms and conditions as may be offered by the LESSOR to any
prospective bona fide purchaser.

6. MORTGAGE AND ENCUMBRANCE. In case the LESSEE decides not to purchase the Subject Property
and the LESSOR sell, mortgage, convey or otherwise alienate or encumber its rights, in whole or in part to
a third party, the leasehold rights of the LESSEE shall be protected and respected until the end of this
Contract

7. TERMINATION.

7.1 LESSEE has the option to pre-terminate this Contract immediately upon the occurrence of any of the
following instances:

i. Breach committed by the LESSOR of any provision of this Contract.


ii. Transfer of the Subject Property or any portion thereof to any person or corporation.
iii. When the purpose of the lease is not anymore required and/or the Leased Premises is no longer
suitable.

7.2 The LESSEE has the option to pre-terminate this Contract, with or without cause, provided that the
LESSEE shall notify the LESSOR in writing of its intention to pre-terminate within thirty (30) days prior
to the intended date of termination; and

7.3 It is understood, however, that the LESSEE may suspend the payment of the rent and/or terminate the
Contract immediately in case the LESSOR failed to maintain the LESSEE’s peaceful and adequate
enjoyment of the LEASED PREMISES or the LESSOR is not able to comply the warranties and
representations stated in this Contract.

8. OTHER CONDITIONS.

8.1 Nothing in this Contract shall be construed to create any joint venture, partnership, agency or
employer-employee relationship between the Parties;

8.2 This Contract shall supersede any prior expressions of intent or understanding with respect to this
transaction. Any amendment to this Contract shall be in writing and duly signed by the Parties;

8.3 The failure of the LESSEE to exercise any right under this Agreement shall not be considered as a
waiver thereof;

8.4 The LESSOR shall indemnify and hold harmless the LESSEE from all claims, suits, proceedings,
actions and other demands of third parties claiming title, possession or any other interest in respect of
the Subject Property or any portion thereof, and from damages arising from it; and

8.5 It is agreed that that any dispute arising out of or base on this Contract shall be brought to the
appropriate Courts of Bayawan City only, to the exclusion of all other courts.
