Avtar, a brilliant automobile engineer, has recently developed a new carburettor in his
factory which he is running as a sole proprietor. The new carburettor can cut down
petrol consumption of a car engine by 40 percent. He is now thinking of producing it
on a large scale for which he requires a large amount of money. He is to evaluate
different forms of organisations for doing the business of manufacturing and
marketing his carburettor. He is advised to form a company. He wants to know about
the formalities required for the formation of a company. His friend ,Rohan, a
Chartered Accountant, told him about the process. There are people and firms who
are taking these steps and the associated risks and undertake to form a company
with reference to a given project and to set it going . They take the necessary
steps,like name approval, preparation of necessary documents,etc. to accomplish
that purpose. To fully understand the process one can divide the formalities into three
distinct stages, which are: (i) Promotion; (ii) Incorporation and (iii) Subscription of

have a good share in the market.But since past one year they have been facing tough
competition from the competitors.Moreover due to change in the taste of customers
the demand of the previously produced dresses has declined.To get rid of the huge
stock the company decided to offer it at heavy discounts. In the month of December
due to untimely rain and flood in Chennai ,the factory again had to be shut down for
several days and suffer damage to stocks.Due to shut down the workers were not
paid wages for that period because of which the union went on a strike.All this has
resulted in heavy losses to Mohgun’s Ltd..
