1. Prices: Ex-works(Ahmedabad) PRICE: Rs. 27,00,000/-

:

Price is exclusive of GST @ 18% which is to be paid extra. Any revision in Govt.
levies, duties, taxes will be applicable as on date of delivery.

2. DELIVERY:

Delivery period is 2-3 weeks, Ex Works, Ahmedabad, Gujarat INDIA which will
commence upon date of receipt of technically, and commercially clear order and realization of
the advance payment and subject to delay that may occur due to any reasons beyond our
control and force majeure conditions.

3. PAYMENT:

a) 30% of the value of the order as an interest free Non Refundable Advance payment
along with the order by the way of Demand Draft / At Par Cheque / RTGS.
b) Balance 70% payment within 10 days of the date of Proforma Invoice prior to
dispatch.
c) Warranty clause shall be applicable only when 100% payment along with necessary
Forms fulfilling statutory requirements and acknowledged by us.

4. FORCE MAJEURE:

The delivery schedule shall be subject to delays attributable to Force Majeure

conditions such as events not involving the Principal’s fault or negligence, acts of
God, wars and revolutions, fires, flood, earthquakes, epidemics, quarantine restrictions,
freight embargoes, change in Governmental policies.

5. TRANSIT INSURANCE:

Transit Insurance has to be borne by you.

6. FREIGHT / MODE OF DISPATCH:

The Seller recommends Road Transport for quick and safe delivery of the consignment. If the
Buyer desires to have any other mode of transport, the same should be clearly
mentioned in the Order. Transportation charges have to be borne by buyer at actuals. The
approximate Freight charges from Macons Ahmedabad plant to your Tezpur site
would be 2.75 Lac.

7. PRICE VARIATION:

The prices offered are based on present day cost of various components, raw
materials, wages etc. and if there is any revision in prices of any of these items the
price will be adjusted accordingly.

8. CANCELLATION ALTERNATION:

Order once placed are not subject to cancellation/alternation unless the purchaser agrees to
pay 10% of the total order value as incidental expenses provided that such information is
given to us before making any progress regarding any design or drawing work,
material procurement or start of manufacturing etc. However, if such intimation is received
after the work has already progressed, the purchaser will be required to pay in
addition to the incidental expenses, a sum in proportion to the progress of the work

between the date or receipt of order the date of receipt of intimation regarding
cancellation/alteration.

9. INSPECTION:

If required, inspection will have to be carried out at our works by your authorized
representative at their cost, 15 days prior to dispatch of the material. If inspection is not
carried out within 15 days of intimation, we shall consider that inspection being waived off
and arrange to dispatch the goods and submit our invoice for payment. We can carry on only
no load test at our works and only visual inspection shall be allowed.

10. ERECTION & COMMISIONING:

Erection & Commissioning shall be done under the supervision of our engineers. We shall
depute service engineer for a period of 10 days. Customer has to provide lodging
and boarding and local conveyance to our engineer. Additional man-days shall be
charged at Rs.5000/- per man-day and to & fro charges shall be extra at actual. The tools
and tackles like crane, welding equipment and other accessories and the skilled /unskilled
manpower shall be provided by the customer.
11. WARRANTY & LIABILITIES:

Our Equipment shall carry warranty of components such as Engine, Electric Motor, and Gear
Box etc. Only as provided by the original manufactures/sellers and it is expressly
understood that our liability for the same shall be confined to that extent only. Our supply
shall carry a warranty for a period of Twelve months from the date of dispatch and shall
cover free replacement/repairing due to defective material, faulty design, or inferior
workmanship. Warranty excluded our liability due to improper handling; storage,
faulty operation, overload and normal wear and tear. Warranty does not cover
electrical items, rubber item and other normal wear and tear items. Warranty voids if repair
is carried out without our prior approval. We will not be responsible for any
consequential damages or liabilities. The replaced/repaired component shall carry
warranty for the balance of the original warranty period.

MACONS declines all the inherent responsibility of direct and indirect expenses of
replacement or stopping times due to parts repairing or substitution.
The use of unqualified/unskilled personnel to execute dismounting, alterations or repairing
works in our equipment ends immediately the guarantee. Even on those situations where

certain components have brand representation on the client’s country, the guarantee claims
must always pass through MACONS. Otherwise, We do not take any responsibility for the
associated costs.

The repairing, modification or substitution of any parts during the period of guarantee do not
cause the extension of the guarantee stated costs.

12. ARBITRATION:

Any dispute or difference arising between the parties hereto in connection with the contract
obligations of the parties hereunder, shall be referred to arbitration, in accordance with the
provision of the Indian Arbitration Act 1940 or any statutory modifications or reenactment
thereof. The venue of arbitration will be Ahmedabad.

13. JURISDICTION:

Subject to Ahmedabad Jurisdiction only.

14. PRICE DON’T INCLUDE: our scope of supply shall be strictly restricted to that
as mentioned in our offer. However please note the following-

. Transportation
. Transit Insurance
• Civil Works and foundations.
• Assembly and assembly means.
• Water feed installation up to the plant structure and pump.
• DG set for the plant and other facilities.
• Crane & welding facility for erection with skilled and un-skilled labor.

15. VALIDITY OF OFFER:

Unless stated otherwise, or extended in writing subsequent to submission of offer, our offer
shall remain valid for acceptance for 30 days only from the offer date.
