This Deed of Absolute Sale, made and entered into at Tacloban City, Philippines, by and between:
TACLOBAN LUCKY HARDWARE REALTY CORPORATION, a
domestic corporation duly organized and existing under and by virtue of the laws of the Republic of the Philippines, with principal office located at Rizal Avenue, Tacloban City, Leyte, Philippines, herein represented by JOHNY CHU GO, of legal age, Filipino, married and a resident of Tacloban City, on the strength of a Board Resolution passed and approved by the Board of Directors of the said corporation, hereinafter called the SELLER,

CHRISTINE L. NGO, with address at P. Zamora St., Tacloban City, hereinafter called the BUYER,
WITNESSETH: That---
WHEREAS, on 25 July 2005, the herein parties executed a Deed of Sale on
Installment Basis per Doc. No. 816, Page No. 83, Book No. XII, s. 2005 of the Notarial Register of Notary Public Camilo A. Camenforte, of a certain real property, together with a commercial building erected thereon, covered by Transfer Certificate of Title No. T-34849 in the name of Seller, for the consideration of TWENTY MILLION ONE HUNDRED EIGHTY FIVE THOUSAND FIVE HUNDRED TWENTY PESOS (PhP20,185,520.00), payable within a period of eight (8) years by instalment;
WHEREAS, the buyer has paid the total purchase price of, Philippine Currency by instalment in the span of eight (8) years;
WHEREAS, the capital gains tax, documentary stamp tax have been paid per Payment Forms 0605, deposit slips for tax payments and Revenue Official Receipts, all in the amount of P_____________________ only and a CAR____________ issued....
WHEREAS, the technical description of the above-mentioned real

Bounded on the NE., by Calle San Roque; on the SE., by properties of Jose Luciano, et al. (Lot No. 6) and Perpetua Yerro, et al. (Lot No. 16); and on the NW., by properties of Maria Bayona (Lot No. 3) and Marcela Santos, et al. (Lot No. 4) Beginning: at point marked “1” on plan, being N.61 deg. 34’W., 517.66 from B.L.L.M. HUNDRED (1,500) square meters, more or less, covered by Transfer Certificate of Title No T-34849 in the name of Tacloban Lucky Hardware Realty Corporation, issued by the Register of Deeds of the City of Tacloban;
For and in consideration of the sum of TWENTY MILLION ONE
HUNDRED EIGHTY FIVE THOUSAND FIVE HUNDRED TWENTY PESOS (PHP 20,185,520.00), Philippine Currency, of which total receipt is hereby acknowledged and confessed by the SELLER, the SELLER hereby SELLS, CEDES, TRANSFERS and CONVEYS, in an absolute and irrevocable manner, all the rights, interests, and title over the above described parcel of land and the building thereon as well as other improvements standing thereon, free from all liens and encumbrances whatsoever;
The SELLER hereby warrants unto the BUYER valid title and peaceful posession of the property, herein conveyed subject of this instrument and binds itself to defend the rights over the property by the herein BUYER, his successors and assigns against claims of all persons whomsoever and whatsoever.
