Reflection on Annual Reports

The term Annual Report symbolizes a document which public corporations must annually
provide to the shareholders to aware them of operation and financial conditions. The report
presented annually is supposed to clarify financial and operating conditions but that alone is not
enough for an annual report.
As I surfed through annual reports, I found the similar contents present in every standard annual
report. The one I took the reference from is NMB Bank Annual Report 2077-78. The contents
that I found in the reports were:
1. Annual General Meeting (AGM): The report first contained information about
time, place, agenda of the AGM and report was said to be published online for the
shareholder’s convenience.
2. Chairman’s Statement and CEO’s Message: The Chairman’s Statement contained
thanks to shareholders and others and Message from CEO contained about the
bank’s performance, External business environment, measures taken during
Covid-19 and environmental hazard.
3. Director’s Report: It contained Key Financial performance for the fiscal year,
impact of global and domestic economy on bank’s performance, BOD’s response
on achievements of the fiscal year and so on.
4. Independent Auditor’s report: After detailed plots of financial highlights
contained report on audit of Consolidated Financial statements. Which I
understood as one of the most crucial.
5. Consolidated Financial Statements: It contained consolidated financial statements
of financial position also significant accounting policies and additional
disclosures related to it.
6. It then contained Basel Disclosures, Corporate Social Responsibility (CSR).
7. Latest Denture Issue: It contained projected v/s Actual of statement of Profit or
Loss and Financial Position.
8. Horizontal and Vertical analysis
9. Approval Letter from Nepal Rastra Bank for publication of Annual report also
distribution of dividend.
10. The last contained of reply to Instructions directed by Nepal Rastra Bank
regarding Dividend Distribution and published financial statements of fiscal year
2077/78.

The main objective of all these inclusions is to provide an opportunity to discuss about
company’s operation with its shareholders also providing them with insight of next year’s plans,
agenda and goals. All these information together make a reliable annual report which helps to
analyze and understand about the company.
